IPO Readiness & Finance Transformation

Role Overview:

We are looking for an experienced Head - Finance & Accounts who will lead the Finance & Accounts function while driving finance transformation, stronger governance and IPO readiness. The role will work closely with the Promoters and Directors and will have significant ownership across financial planning, treasury, working capital, financial controls, reporting, compliance, inventory finance and the company's long-term IPO-readiness roadmap.

Key Responsibilities:

Strategic Finance & Business Planning:

- Develop and drive financial strategy aligned with business growth and retail expansion.

- Lead annual budgeting, forecasting, financial planning and long-term business planning.

- Prepare and present monthly MIS, dashboards and financial insights to the Directors and Promoters.

- Drive profitability improvement through financial analysis, cost optimisation, pricing and capital allocation.

- Establish financial performance metrics across stores and business functions.

Treasury & Working Capital:

- Lead treasury operations, cash-flow management, liquidity planning and working-capital optimisation.

- Manage relationships with banks and financial institutions.

- Manage Gold Metal Loans (GML), bullion financing and working-capital facilities.

- Optimise borrowing costs, liquidity and financing structures.

- Establish robust cash-flow forecasting and monitoring mechanisms.

Financial Control, Accounting & Reporting:

- Ensure timely and accurate monthly and annual financial closures.

- Strengthen internal financial controls, accounting policies, approval mechanisms and reconciliation processes.

- Drive ERP discipline, finance process standardisation and automation.

- Oversee inventory valuation, bullion accounting, provisions and revenue recognition.

- Coordinate with statutory and internal auditors and ensure timely closure of audit observations.

Retail Finance & Inventory Management:

- Drive store-wise analysis of revenue, margins, operating costs, profitability and ROI.

- Monitor inventory ageing, movement, shrinkage, stock reconciliation and inventory efficiency.

- Strengthen controls around high-value jewellery inventory and bullion movements.

- Analyse product and store-level margins, pricing, making charges, discounts and promotions.

- Develop store-performance dashboards to support commercial decision-making.

Corporate Governance & Compliance:

- Drive institutionalisation of corporate governance practices in preparation for future public-market requirements.

- Coordinate Board and Committee Meetings, including financial materials and supporting documentation.

- Ensure timely ROC, MCA, statutory, tax, GST, PF, ESI and other applicable compliance requirements.

- Coordinate statutory, internal, tax and secretarial audits.

- Liaise with auditors, regulators, legal advisors, company secretarial professionals and other external stakeholders.

IPO Readiness & Finance Transformation:

- Lead the company's five-year finance transformation and IPO-readiness roadmap.

- Assess existing finance, reporting, governance, controls and compliance processes against IPO and listed-company requirements.

- Identify gaps and implement a structured roadmap to institutionalise finance processes and controls.

- Coordinate with merchant bankers, auditors, legal advisors, tax advisors and other external partners involved in the IPO-readiness process.

- Support corporate structuring, capital planning, financial due diligence and resolution of historical accounting, tax, compliance and governance gaps.

Leadership & Stakeholder Management:

- Lead and develop the Finance, Accounts and Company Secretarial teams.

- Define roles, KPIs, reporting structures, SOPs, finance policies and approval matrices.

- Build a culture of financial discipline, accountability, transparency and process ownership.

- Partner closely with Promoters and Directors on financial strategy, capital allocation, business growth and long-term priorities.

- Work cross-functionally with retail, procurement, operations, legal, HR and business teams.

Candidate Profile:

- CA qualification is mandatory.

- 12 - 20 years of progressive experience in Finance & Accounts.

- Minimum 5 years of senior finance leadership experience as Head of Finance, VP Finance, Finance Controller, CFO-1 or equivalent.

- Experience in jewellery retail, luxury retail, consumer or other inventory-intensive businesses preferred.

- Strong experience across finance, accounting, treasury, controls, compliance, MIS and financial reporting.

- Experience building or transforming finance processes in a growing or promoter-led organisation.

- Exposure to IPO preparation, pre-IPO readiness, listed-company governance, investor due diligence, PE reporting, merchant banker coordination or capital-market transactions strongly preferred.

- Experience working with Promoters, Boards, auditors, investors, banks and external advisors.

- Strong proficiency in ERP systems, MS Excel, financial modelling, MIS and management reporting.
