Key Responsibilities : 1. Leadership & Strategy: - Lead and provide direction to the secretarial team ensuring efficiency in all secretarial functions. - Contribute to strategic planning and implementation, working closely with top management. 2. Board Meetings & Governance: - Facilitate quarterly board meetings, ensuring all necessary documentation and reports are prepared in advance. - Act as the main point of contact between the board members and the organization. - Ensure that the company's policies and procedures are in compliance with statutory and regulatory requirements. 3. Regulatory & Statutory Compliance: - Preparation of agendas, taking minutes, Action Taken Reports, follow ups for completion of Action Taken Reports - Ensuring Compliance with Companies Act and rules made thereunder, SEBI (Listing Obligation and Disclosure Requirements) Regulations. 2015, SEBI (Prohibition of Insider Trading) Regulations, 2015 - Compliance on fund raising (Equity, NCDs - Public & Private Issue) and corporate actions related thereto - Drafting of various policies and monitoring compliance with applicable policies. 4. Shareholder Communication: - Manage communication with shareholders and ensure that their queries, requests, and concerns are addressed promptly. - Organize and lead Annual General Meetings, Extraordinary General Meetings, and other shareholder meetings. 5. Records & Documentation: - Maintain statutory records as required under various regulations. - Ensure proper documentation of minutes, resolutions, and other secretarial records. - Filing of forms, returns with Ministry of Corporate Affairs and Stock Exchanges, maintaining Statutory Registers applicable to the Company. - To carry out corporate actions, obtaining of Listing approval, trading approval from NCDL/ CDSL, BSE/ NSE as the case may be. 6. Advisory Role: - Provide counsel to the board on governance matters, company law, and other related regulations. - Assist in the formulation of internal policies and procedures. 7. Stakeholder Management: - Foster relationships with regulatory bodies, external counsels, auditors, and other stakeholders. - Collaborate with other departments ensuring seamless flow of information for compliance and reporting.
