Head of CS (Company Secretary) - Fintech Firm - Work closely with and assist the Company secretary in all the CS functional activities including dealing with Board of Directors, shareholders, investors, and other stake-holders. - Assist CS in organizing and conducting meetings of the Board, Shareholders, Committees in a timely and orderly manner, and with high degree of professionalism and governance. - Manage and ensure compliance, in a timely and orderly manner, with all regulatory matters under the corporate laws including RBI, SEBI, MCA - Develop Guidelines, playbook, and document templates as may be required from good governance and compliance perspective in connection with activities of the Company. - Draft agenda, minutes, compile and maintain secretarial records, company law and Reserve bank filings, supporting internal and statutory audit. - E-file necessary forms & returns before the regulatory authorities. - Ensure timely, correct and orderly maintenance of statutory records, as required. - Time-bound filings (Annual Accounts, Annual Return & Secretarial Compliance Certificate). - Event-based filings (Such as change of directors, an increase of capital, etc.). - Maintain ROC files and records. - Nurture yourself to be able to manage the CS functional activities independently with minimal dependence on your manager. - Be sensitive to rapidly changing work and business priorities and have an adaptable and flexible approach to work to ensure timely, positive, and constructive counseling.
