To lead the Group's Legal, Corporate Governance, and Compliance function at a strategic level, ensuring regulatory excellence, strong governance frameworks, and legal risk management across businesses and geographies.
Role Purpose:
To lead the Group's Legal, Corporate Governance, and Compliance function at a strategic level, ensuring regulatory excellence, strong governance frameworks, and legal risk management across businesses and geographies.
Key Responsibilities:
Corporate & Governance:
- Oversee Corporate Governance, SEBI compliance, and Company Law matters.
- Advise the Board, senior leadership, and committees on governance best practices.
- Ensure compliance with listing regulations, disclosures, and statutory requirements.
Legal Strategy & Advisory:
- Act as the Group's principal legal advisor on corporate, commercial, regulatory, and strategic matters.
- Review and draft complex contracts, JV agreements, land / infrastructure / logistics / real estate agreements.
- Support M&A, CAPEX projects, and new business initiatives with legal due diligence and structuring.
Litigation & Dispute Management:
- Lead and oversee all litigation, arbitration, and dispute resolution matters across jurisdictions.
- Manage regulatory proceedings, industrial disputes, and high-value commercial matters.
Compliance & Risk:
- Build and maintain strong legal risk management frameworks.
- Liaise with external counsels, regulators, and advisors.
- Ensure compliance across multiple jurisdictions (India, EU, US as relevant).
Stakeholder Management:
- Work closely with Group HR Head, business heads, finance, secretarial and factory leadership teams.
- Partner with IR and plant teams on labor, compliance, and regulatory coordination (execution at plant level).
Role Scope & Structure:
- This is a Group-level IC role (no direct team leadership initially).
- The Secretarial function is a separate team but works closely with this role.
