Group Company Secretary / Senior Company Secretary (Leadership Role)

Locations: India (with global interface)

ABOUT THE OPPORTUNITIES:

We are conducting a confidential leadership search for two marquee mandates:

Mega Indian Conglomerate

- Part of a highly respected, diversified business house

- Strong presence across Infrastructure, Technology, and Services

- Multiple global collaborations, JVs, and strategic alliances

These roles are not transactional compliance roles - they are board-facing strategic positions influencing governance, risk, and corporate architecture.

ROLE MANDATE (WHAT YOU WILL OWN):

Corporate Governance & Board Advisory

- Act as principal advisor to Board of Directors on governance frameworks

- Drive Board/Committee processes, agendas, minutes, and decision frameworks

- Ensure alignment with global best practices in governance

Regulatory & Compliance Leadership

Ensure full compliance with:

- Companies Act, 2013

- SEBI (LODR), Insider Trading, Takeover Code

- FEMA, RBI, and cross-border regulations

- Lead regulatory filings, disclosures, and secretarial audits

Strategic Transactions & Structuring

Lead governance aspects of:

- M&A, Joint Ventures, restructuring

- Fundraising (equity/debt), rights/bonus issues

Interface with investment bankers, law firms, regulators

Legal & Risk Interface

Collaborate with legal teams on:

- Litigation strategy oversight

- Contract governance frameworks

Strengthen enterprise-wide compliance systems

Stakeholder & Investor Interface

Manage relationships with:

- Regulators (SEBI, ROC, Stock Exchanges)

- Institutional investors, analysts

- Support investor communications and disclosures

Global Governance Integration

- Harmonize governance practices across international subsidiaries

- Handle cross-border compliance, entity management

IDEAL CANDIDATE PROFILE:

Mandatory

- Qualified Company Secretary (ICSI)

- Law qualification (LLB / LLM) strongly preferred

- ~20 years experience (flexible for exceptional candidates)

Experience Depth

Must have worked with:

- Listed companies / large conglomerates

- Complex corporate structures

Demonstrated exposure to:

- Board-level interactions

- SEBI regulations, listing compliance

- M&A / restructuring transactions

Leadership Attributes

- Gravitas to engage with Board & CXOs

- High integrity and discretion

- Strategic thinking + execution rigor

- Ability to operate in ambiguity and high-stakes environments
