About:
- Responsible for advising the board on legal and governance matters, managing board meetings and minutes, and ensuring all statutory filings are made correctly and on time.
- The role involves ensuring compliance with securities laws and regulations, managing board and shareholder meetings, handling mergers and acquisitions, and advising on investor relations and corporate governance
- Drafting and reviewing agreements, managing corporate records, and handling communication with stakeholders like shareholders and regulatory bodies.
- Corporate Governance and Board Support
- Meeting coordination: Organize and facilitate board and committee meetings, including preparing agendas, board packs, and distributing information.
- Minute taking: Accurately draft and maintain minutes for all meetings.
- Statutory compliance: Ensure compliance with corporate laws, secretarial standards, and regulations through timely filing of returns and reports.
- Record keeping: Maintain and update all statutory books, registers, and corporate records.
- Board advice: Act as the primary point of contact for the board, advising on corporate governance best practices, legal obligations, and strategic matters.
- Shareholder relations: Manage shareholder communications, including Annual General Meetings (AGMs) and handling inquiries.
Legal and Compliance:
- Document drafting: Draft and review various legal documents, agreements, and deeds.
- Legal coordination: Coordinate with external legal counsel for due diligence and legal proceedings.
- Regulatory liaison: Liaise with regulatory authorities like the Registrar of Companies (ROC), Securities and Exchange Board (SEBI), or others as applicable.
- Policy development: Assist in the development and implementation of company policies and procedures.
- Due diligence: Prepare due diligence reports and search reports.
Qualification And Experience:
1. FCS & LLB with Experience of 20+ Years and Strong knowledge of corporate law and governance principles. Expertise in securities laws, FEMA (Foreign Exchange Management Act), M&A (Mergers and Acquisitions), investor relations, and regulatory filings with a leading Industrial Conglomerate & Listed Entity.
2. Excellent communication, organizational, and time-management skills.
3. Outstanding senior management and leadership skills, with the ability to lead and motivate teams and the capacity to operate as an effective business partner.
4. Personal demeanour that secures the trust and confidence of others immediately.
5. Resourcefulness to develop solutions to complex legal or regulatory problems.
6. Able to work effectively with colleagues, volunteers and partners at all levels.
7. Able to build and maintain effective external professional networks.
8. Able to manage and resolve conflicting priorities and stakeholder concerns and build and maintain effective networks both internally and externally.
9. High level of accuracy and attention to detail.
10. Ability to handle highly confidential information with discretion and integrity.
11. Strong analytical and problem-solving skills.
12. Ability to handle sensitive information with discretion.
13. Proficiency in relevant legal and corporate governance software and Microsoft Office Suite.
14. Ability to work under pressure and manage multiple priorities.
15. Ability to work independently and collaboratively under pressure and meet deadlines.
