Mission of the Role:

As Senior Corporate Counsel - Legal, your mission is to be Gravity's in-house legal backbone as the company scales its hub-based delivery model across studio markets and grows through acquisitions. You will own the full contracting lifecycle, lead legal due diligence and term sheet negotiation for M&A, build the compliance and internal control frameworks a multi-entity, multi-warehouse business needs, and be the person on the ground when litigation, police, or local administration issues touch Gravity's hubs and depots. This role sits close to the founders and the Studio GTM and Finance teams, translating legal risk into pragmatic, business-aligned decisions.

What You'll Own:

1. Contracts & Commercial Drafting:

- Draft, review, and negotiate the full range of Gravity's agreements - vendor and manufacturing contracts, studio/dealer agreements, staffing and channel partner agreements, NDAs, leases, and logistics/hub contracts.

- Own the end-to-end contracting lifecycle: drafting from scratch, redlining counterparty paper, running negotiations, and closing on time, in step with business teams.

2. Fundraising & M&A Legal Due Diligence:

- Lead legal due diligence on acquisition targets - corporate records, material contracts, litigation history, licenses, and title/encumbrance checks - and flag risk before signing.

- Draft and negotiate term sheets, SPAs/SHAs, and definitive agreements alongside the M&A & Fundraising lead, and run the legal workstream of post-merger integration for each acquired entity.

- Support investor round documentation for Gravity's debt and equity fundraising - coordinating data rooms, drafting/reviewing term sheets and definitive round documents, and working with the M&A & Fundraising lead through closing.

3. Compliance & Internal Controls:

- Act as the legal partner to the People (HR) team on employment-related matters, including drafting and reviewing employment agreements, ensuring compliance with evolving regulations, and developing, updating, and implementing internal employment policies where applicable - and keep compliance trackers current.

- Design and enforce internal control frameworks and approval matrices scaled for a multi-entity, high-growth business, and partner with Finance on audit and governance requirements.

4. Legal Advisory, Regulatory Risk Resolution:

- Provide proactive legal advisory on new business initiatives, product launches, and strategic projects, ensuring legal and regulatory risks are identified, assessed, and mitigated prior to go-live.

- Collaborate closely with internal teams (Sales, Finance, Customer Support, and Cybersecurity) to ensure contract terms align with business needs.

What We Are Looking For:

Qualifications:

- LLB from a recognised institution; 7 - 12 years PQE, with meaningful in-house or law-firm exposure to commercial contracts, M&A, and compliance.

Core experience:

- Strong hands-on drafting and negotiation skills across vendor, staffing, and channel agreements; working knowledge of M&A due diligence and deal documentation.

Industry background:

- Retail, e-commerce, distribution, logistics, or building materials preferred - sectors with real warehouse, dealer, and last-mile complexity.

Builder profile:

- Comfortable operating without an inherited playbook, working directly with founders, and getting hands-on with ground-level issues rather than routing everything through external counsel.

Ground exposure:

- Demonstrated comfort engaging directly with police, courts, and local administration on warehouse/logistics-related matters - this is a distinguishing requirement for the role.

Location:

- Based in Bengaluru, with willingness to travel to hubs across Bangalore and other studio markets as Gravity expands.
