About the Role:
We are seeking an accomplished Company Secretary Team Manager to lead and oversee the ROC & Statutory Compliance function. This role is pivotal in ensuring full regulatory compliance, governance excellence, and corporate secretarial accuracy across a portfolio of client companies. The ideal candidate will have a deep understanding of the Companies Act, SEBI, and other allied regulations, coupled with strong team management and client engagement experience.
Key Responsibilities:
Corporate Governance & Regulatory Compliance
- Oversee end-to-end incorporation of Public and Private Limited Companies, OPCs, and Foreign Subsidiaries, ensuring full statutory compliance.
- Manage annual compliance activities, including preparation and filing of Annual Reports, Financial Statements, and e-forms with ROC, MCA, SEBI, and other authorities.
- Maintain statutory registers, records, and filings under the Companies Act, SEBI, and Stock Exchange requirements.
- Draft, vet, and review Board Reports, Annual Reports, Corporate Governance Reports, and Secretarial Standards compliance documentation.
- Handle name strikes, conversions (Loan to Equity, Private to Public, LLPs), and various ROC submissions.
Board, Committee & Shareholder Management
- Organize and conduct Board, Committee, and Shareholder Meetings (physical and virtual), ensuring compliance with Secretarial Standards.
- Prepare and review meeting notices, agendas, resolutions, and minutes, along with post-meeting compliance tracking.
- Maintain minute books, statutory registers, and e-records as per ICSI guidelines and company law requirements.
Transactional & Legal Documentation
- Draft and vet commercial agreements, NDAs, vendor agreements, and corporate contracts ensuring legal accuracy and compliance.
- Prepare Search Reports, Secretarial Audit Reports, and Due Diligence documentation for client and internal audits.
- Handle share transfers, transmissions, and dematerialization in coordination with NSDL/CDSL and Registrar & Transfer Agents (RTAs).
Stakeholder & Audit Coordination
- Liaise with Statutory Auditors, Practicing Company Secretaries, and Internal Teams for half-yearly and annual audits.
- Manage communications with clients, shareholders, and government authorities to ensure timely resolutions and seamless compliance processes.
Team Management & Performance
- Lead a team of secretarial professionals, ensuring high-quality client delivery and compliance accuracy.
- Drive process efficiency, risk mitigation, and governance excellence through structured workflows.
- Track team KPIs such as escalation management, client satisfaction, and revenue realization.
- Provide mentoring, training, and development support to team members to enhance professional growth.

Required Skills & Competencies
- Strong knowledge of the Companies Act, SEBI Regulations, FEMA, LLP Act, and other allied legislations.
- Proficiency in MCA21, SEBI, and ROC e-filing systems.
- Excellent drafting, analytical, and interpretation skills.
- Strong communication and stakeholder management capabilities.
- Methodical, detail-oriented, and highly organized with the ability to handle multiple clients and deadlines.
- Proven experience in team leadership and client relationship management within a PCS or Corporate Legal environment.
Eligibility
- Qualified Company Secretary (ACS/FCS) with minimum 6 years of post-qualification experience in ROC and secretarial compliance management.
- CS professionals with 6+ years of strong experience in a reputed PCS firm or corporate secretarial department will also be considered.
