Position description :
Summary : The Compliance and Ethics Lead is responsible for developing, implementing, and overseeing the organization's compliance and ethics program. This role ensures adherence to legal, regulatory, and internal policy requirements while fostering a culture of integrity, accountability, and ethical decision-making across all levels of the company. The position requires strong leadership, cross-cultural awareness, and the ability to navigate complex global compliance landscapes
RESPONSIBILITIES :
Program Leadership :
- Design, implement, and manage the compliance and ethics framework.
- Establish policies, procedures, and controls as may be applicable to ensure compliance with applicable laws and regulations.
- Serve as the primary point of contact for compliance and ethics matters.
Foundational Regulatory Compliance :
- Develop, implement, and maintain a robust compliance management system to ensure adherence to all applicable laws for a corporate and manufacturing entities in India, UK and US, (including but not limited internal policies related to AML, Sponsorship, Gift & Hospitality Policy, Code of Conduct, Export & Control and Regulatory Factories Act, Labour Laws, Environmental Protection laws, etc).
- Create and manage a regulatory compliance calendar to track and ensure timely filings, renewals, and reporting to various government bodies. This will be done with the support of GRC tool.
- Conduct regular assessments and audits to evaluate compliance effectiveness and identify areas for improvement and mitigating controls.
- Monitor and analyze regulatory changes and their impact on the Company.
- Prepare and present compliance reports to senior management and the board.
Corporate Governance & Ethics :
- Anti-Bribery and Corruption (ABC): Develop and enforce a comprehensive ABC and Code of Conduct policy, conduct risk assessments, manage third-party due diligence, and deliver regular training.
- Anti-Money Laundering (AML): Establish and maintain internal AML policies, implement KYC/CDD principles for high-value transactions, and monitor for suspicious activities.
- Whistleblower Policy Management: Establish, manage, and promote a secure and confidential whistleblower mechanism for reporting violations of laws or company policies, and oversee the investigation process. Support the investigation process.
Environmental, Social, and Governance (ESG) Compliance :
- Oversee the company's adherence to ESG-related laws, regulations, and standards.
- Work with relevant departments to monitor and improve performance on key ESG metrics.
- Ensure compliance with Corporate Social Responsibility (CSR) provisions under the Companies Act, 2013, including governance, spending, and reporting.
Training & Awareness :
- Design and deliver a dynamic and ongoing training program for all employees (across levels) to foster a culture of integrity and compliance.
- Promote awareness of ethical standards and organizational values.
- Provide guidance on ethical dilemmas and compliance-related inquiries.
Team Leadership :
- Manage and mentor the Compliance teams, fostering a culture of accountability and continuous improvement.
- Conduct training sessions to enhance the skills of the compliance teams.
Stakeholder Engagement :
- Serve as the primary liaison for compliance related matters with senior management, the board, and external stakeholders.
- Collaborate with various departments to integrate Compliance internal policies into business operations.
- Provide expert compliance risk mitigation strategies.
Continuous Improvement :
- Stay abreast of industry trends, regulatory changes, and best practices in Compliance management.
- Implement GRC and other technology solutions to enhance efficiency in compliance monitoring and implementation programme.
- Lead initiatives to promote a strong Compliance culture within the organization.
Knowledge, Skills and Experience :
Essential :
- 8+ years of proven experience in driving compliance, and ethics, in a multi-faceted corporate compliance role within a large-scale global organisation (Manufacturing or industrial sector exposure, desirable)
- Excellent communication, leadership, and problem-solving skills.
- High integrity and ability to influence organizational culture.
In-depth Knowledge :
- Domain understanding of the Indian and global legal landscape: Corporate Laws & Regulations, FEMA, Labour Laws, Environmental Laws, Anti-Bribery & Corruption, Export Control, AML
- Analytical Skills: Excellent analytical and problem-solving skills with meticulous attention to detail.
- Integrity & Discretion: Unquestionable professional ethics, integrity, and the ability to handle sensitive information with complete confidentiality.
- Communication: Strong written and verbal communication skills
- Interpersonal Skills: Proven ability to work collaboratively across departments and influence senior stakeholders.

Role Specific Qualifications/Certifications :
- Bachelor's degree in law, Business, or Engineering, MBA Finance from premium institutes, or Company Secretary with relevant certification (e.g., CCEP, CRCM or GRC Professional) preferred.
