About:


- Ensure compliance under the Companies Act, 2013, including conducting Board Meetings, General Meetings, and Committee Meetings (issue of Notices, Agenda, Minutes) and maintaining all Statutory Registers.

- Ensure compliance under various other statutes and legislations as required, and file necessary returns and forms with Government Authorities in a timely manner.

- Manage all event-based secretarial matters, including change in Directors, change in Capital Structure, Joint Ventures, M&A activities, and other corporate actions.

- Oversee SEBI (LODR) Regulations, 2015 compliance, including timely filing of all quarterly, half-yearly, and annual disclosures.

- Ensure compliance related to NSE/BSE, including listing requirements, corporate governance reports, shareholding patterns, investor communications, and all stock exchange submissions.

- Coordinate with Registrar & Transfer Agents (RTA) for all share-related matters, including demat/remat, transmission, investor grievances, dividend distribution, and reconciliation of share capital.

- Ensure compliance under SEBI (PIT) - Prohibition of Insider Trading Regulations, including maintenance of trading window, UPSI controls, pre-clearance processes, and reporting.

- Handle all NSE/BSE corporate announcements, results submissions, board meeting intimation, outcome filings, and press releases as required.

- Support the HR Director in execution of CSR policy and manage all CSR-related compliance and documentation.

- Coordinate closely with the Finance Head regarding all Legal, Secretarial, Listing, and CSR matters of the company.

- Advise the CFO and the Board on legal, regulatory, and secretarial issues, ensuring strong corporate governance practices.

- Update management on amendments to laws/regulations and advise on required changes in compliance, policies, and operational frameworks.

- Coordinate with external legal consultants, MIDC offices, RoC, stock exchanges, SEBI officials, and other regulatory bodies as required.

- Draft, review, vet, track, and manage execution of all legal documents, including Purchase Contracts, Sale Agreements, NDAs, Service/Vendor Agreements, Bank Guarantees, Insurance-related documents, and banking documents.

- Ensure timely handling of investor grievances, compliances related to AGM/Annual Report, e-voting processes, and liaise with statutory auditors and secretarial auditors.

- Support the Board and Committees (Audit, Nomination & Remuneration, CSR, Stakeholders Relationship Committee) with complete documentation, presentations, compliance monitoring, and follow-up actions.
