Role Summary

The General Counsel is responsible for leading the organizations legal strategy, governance framework, regulatory risk management, and compliance oversight across domestic and international operations. The role ensures that all business activities, contracts, regulatory filings, intellectual property, and corporate actions are aligned with applicable laws and global compliance standards.

Responsibilities:

Legal Strategy & Advisory

- Provide strategic legal counsel to the Managing Director, board, and leadership team on corporate, commercial, and regulatory matters.

- Evaluate legal risks associated with business strategies, partnerships, market expansions, and new product initiatives.

- Support strategic decisions with proactive legal frameworks that enable growth while protecting the organisation.

Corporate Governance & Compliance

- Ensure compliance with corporate laws, healthcare regulations, and international trade laws applicable to the organization.

- Oversee corporate governance structures, board processes, and statutory filings.

- Develop and implement internal compliance policies, ethical standards, and risk management frameworks.

Regulatory & Industry Compliance

- Ensure compliance with regulations governing healthcare products, infection prevention solutions, and manufacturing standards.

- Advise on regulatory approvals, product registrations, labelling compliance, and export regulations.

- Work closely with regulatory and quality teams to ensure alignment with global compliance requirements.

Contracts & Commercial Agreements


- Draft, review, and negotiate a wide range of contracts including distributor agreements, supplier contracts, licensing agreements, and international partnerships.

- Ensure that commercial agreements adequately protect the companys interests and mitigate legal and financial risks.

- Standardize contract templates and governance for improved legal control.

Intellectual Property Management

- Oversee protection of the companys intellectual property including patents, trademarks, formulations, and proprietary technologies.

- Manage IP filings, renewals, licensing agreements, and infringement issues.

- Work with R&D and innovation teams to secure and protect new product developments.

Litigation & Dispute Resolution

- Manage all litigation, arbitration, and dispute resolution matters involving the company and promoters of the company.

- Coordinate with external legal counsel and ensure effective defence strategies.

- Minimize legal exposure through proactive risk management and early dispute resolution.

International Business & Trade Compliance

- Support international expansion by ensuring compliance with cross-border trade regulations, import/export laws, and distributor agreements.

- Advise on regulatory frameworks across different jurisdictions where the company operates.

Risk Management & Policy Development

- Identify legal and regulatory risks across business functions and recommend mitigation strategies.

- Develop internal policies and training programs to ensure legal awareness and compliance across the organization.

- Strengthen governance systems and documentation practices.

Requirements and Skills

- Bachelors or Masters degree in Law (LLB / LLM) from a recognized institution. A degree in intellectual property and/ or international law would be an added advantage.

- 15+ years of legal experience in corporate law, healthcare, pharmaceuticals, medical devices, or regulated manufacturing sectors.
