Role Overview:
We are looking for an experienced Legal Counsel to support our fast-growing fintech business. The role will focus on M&A, fundraising, client and commercial contracts, and ongoing legal advisory across business, product, and leadership teams. This is a high-impact role requiring strong deal execution, negotiation skills, and comfort working in a regulated, fast-paced environment.
Key Responsibilities:
Corporate, M&A & Fundraising:
- Lead and support mergers, acquisitions, strategic investments, and partnerships, including due diligence, structuring, and transaction documentation.
- Manage fundraising transactions (equity, debt, structured instruments), including term sheets, SHA, SSA, and closing documentation.
- Coordinate with external counsels, investors, founders, and internal stakeholders during transactions.
Contracts & Commercial Negotiation:
- Draft, review, and negotiate client contracts, vendor agreements, partnership agreements, NDAs, SLAs, and MSAs.
- Support enterprise and institutional client negotiations with a strong understanding of commercial and risk implications.
- Ensure contracts align with business objectives while managing legal and regulatory risks.
Regulatory & Advisory:
- Provide legal guidance on fintech regulatory frameworks, RBI guidelines, data protection, and compliance-related matters.
- Advise product, operations, and business teams on legal risks and mitigations.
- Support internal governance, board matters, and corporate secretarial requirements.
Stakeholder Management:
- Act as a trusted legal advisor to founders, leadership, and cross-functional teams.
- Liaise with external law firms, auditors, and consultants as required.
