
We are looking for a Legal Compliance Head to lead our legal function and ensure robust contract management, enterprise legal compliance, and effective stakeholder management across the organization. The role will oversee contract drafting, contract review, contract negotiations, and manage dispute resolution including arbitration. The ideal leader brings deep legal research capability, sound legal advice delivery, and proven experience building scalable legal services frameworks aligned with Indian regulations and global best practices.
Key Responsibilities
1) Contract Management & Governance
- Own end-to-end Contract Management lifecycle for all commercial, vendor, customer, partnership, employment, IP, SLA, and NDAs.
- Establish contract repositories, version control, renewal calendars, and compliance checkpoints.
- Vetting Contracts for risk exposure, indemnities, limitation of liability, warranties, IP rights, termination, governing law, and dispute resolution clauses.
- Implement contract KPIs and dashboard reporting for business leadership.
2) Contract Drafting, Review & Negotiations
- Lead Contract Drafting of master service agreements, SoWs, addendums, licensing, and procurement contracts.
- Perform thorough Contract Review and Document Review to ensure accuracy, compliance, and alignment with business objectives.
- Drive Contract Negotiations with counterparties; balance commercial outcomes with legal risk mitigation.
- Maintain templates, playbooks, clause libraries, and negotiation guidelines.
3) Legal Compliance & Advisory
- Ensure comprehensive Legal Compliance with applicable laws, including Companies Act, labor laws, data privacy, anti-bribery/anti-corruption, and sector-specific regulations (e.g., IT/ITES, manufacturing, fintech, as relevant).
- Provide actionable Legal Advice to leadership and cross-functional teams; translate legal requirements into clear business processes.
- Oversee policy development, compliance audits, risk assessments, and remediation plans.
- Coordinate with external counsels and regulators as required.
4) Legal Research & Dispute Management
- Conduct Legal Research on statutes, case law, regulatory updates, and industry guidance; maintain a knowledge base.
- Lead pre-litigation strategy, notices, responses, and manage Arbitration and alternative dispute resolution where appropriate.
- Track all matters to closure; maintain case files and risk registers.
5) Stakeholder Management & Training
- Strong Stakeholder Management-partner with Sales, Procurement, Finance, HR, InfoSec, Product, and Operations to embed compliance early in the process.
- Design and deliver training on contracts, compliance obligations, and negotiation best practices.
- Communicate complex legal concepts simply and persuasively to business stakeholders.
6) Tools, Systems & Documentation
- Ensure meticulous Document Review standards and record-keeping.
- Proficient in Microsoft Office Suite (Word for drafting, Excel for trackers, PowerPoint for training) and Adobe Suite (Acrobat for PDF editing, redlining, stamping).
- Final Cut Pro exposure is a plus for teams producing content that may require legal vetting (e.g., marketing videos), especially for copyright/branding compliance.
- Evaluate and implement CLM/e-signature tools (e.g., templates, workflows, audit trails).
Required Qualifications:
- Bachelor's degree in Law (LL.B) from a recognized university; LL.M preferred.
- Licensed to practice in India; strong grounding in Indian corporate and commercial law.
- 10-15+ years of post-qualification experience in corporate legal functions, with at least 5 years in a leadership role covering Contract Management, Legal Compliance, and Negotiation.
- Proven experience in Arbitration and dispute resolution, with a track record of favorable outcomes.
