Role overview :

We are looking for a Director - Legal role for assisting in scaling the Legal function to the next level by bringing in innovative and implementable ideas in the areas of contractual reviews and compliances. In this role, you will ensure quick turnaround times in reviewing customer and other business-related contracts.

This position requires good knowledge and experience in contractual and legal requirements in India, US, Philippines, UK / Europe and Australia.

This position will own the outcome of day-to-day legal & contractual operations and ensure smooth functioning.

This role requires a strong focus, agility, legal acumen, excellent communication & negotiation skills and good stake-holder management.

Key Responsibilities :

- Responsible for end to end legal and contracting support to the company's business teams, which includes negotiating, reviewing and drafting terms conditions of international and domestic agreements with clients and vendors for the supply/ receipt of services.

- Software and technology, including all of the ancillary agreements/contract documentation such as license agreements, non-disclosure agreements, Data processing Agreements, release letters, hold harmless letters etc.

- Should have experience in implementing and managing Contract Lifecycle Management (CLM) tools. Experience in Spotdraft is an added advantage.

- Transactional legal support in corporate restructuring initiatives such as mergers and acquisitions - documentation support and advise on related legal and regulatory issues including company law, exchange control, competition law; liaise with external counsels.

- Providing legal support and proactively improving legal processes, and productivity, through simplification, standardization, model contract clauses and contracting templates/ toolkits/playbooks.

- Providing advice on company law, exchange control; corporate governance; labor/ employment, data privacy, anti-bribery and intellectual property related issues; real estate; keeping abreast of legal developments, in particular new regulatory and compliance risks that arise in the region; provide practical advice and documentation support to business units in these areas.

- Policy/ internal guidelines/SOPs formulation. Advise on compliance with internal policies, statutes and other regulatory requirements.

- Support internal investigations/ legal reviews. Assistance in preparing materials and presentations for workshops and training programs.

- Advising on litigation and pre-litigation matters including troublesome practice matters; formulating strategies; drafting and review of associated documentation such as notices, rejoinders, plaints, written statements etc; advising on evidentiary related issues;

- coordinating with external counsels and law firms; taking ownership to handle matters independently and provide regular updates to senior management.

- Experienced in handling statutory compliance programmes; Policy/ internal guidelines/SOPs formulation. Advice on compliance with internal policies, statutes and other regulatory requirements.

- Attending legal calls with Customers, Partners and Vendors for negotiating on Legal terms & conditions.

- Handling employee related contracts & disputes arising out of the same if any.

- Handling all aspects of Intellectual Property (Trade Marks, Patents, Copywrites etc).

Required Experience :

- 10 - 15 years of experience in Legal function, with at least 10 years in as an inhouse legal counsel).

- Proven experience in high-growth tech environments, preferably in a SaaS industry.

- Should have experience of handled legal / contractual related activities in pre/post M&A situations.

- Ability to identify legal risks and articulate the business impact of the same to the stakeholders.

- Agility and Ambiguity Management - comfort with leading through the "chaos" of a startup and ensuring support to the business, while protecting the company's interests.

- Deep understanding of modern technology related legal issues (Cyber / Data ) and ability to leverage AI for legal due diligence and legal reviews.

Required Education Qualifications :

- An LLB degree preferably from premium institutions like NLSUI / NALSAR / NLU with specialization in Cyber / Technology / International laws.

- An LLM or MBL Postgraduate degree in HR from premier institutions like IIMs or XLRI.

- Hands-on experience in Microsoft tools.

- Reduced Contract Cycle Time : Meet benchmark targets, by owning outcome of every legal contract from the time it is submitted for review till execution.

- Use CLMS tools with optimum efficiency in mitigating contractual and legal risks to the Company.

- Ability to move HR from a "Cost center" to a "Profit driver" by directly linking legal strategy to SaaS-specific financial growth.

- Keeping updated with changing legal scenarios globally.

- Keeping updated and implement regulatory changes as mandated by the laws of the country.

- Building and retaining a high-performing team that responds to the organization needs.

- AI & Tech Integration : Adopting AI-infused legal operating model, moving the function from manual delivery to strategic decision-making and automated efficiency.
