Role Overview:

We are looking for an experienced Director - Legal to lead M&A, investments, general corporate, commercial contracts, corporate advisory and compliance matters for a leading technology-driven consumer internet organization and its subsidiaries.

The ideal candidate should have substantial experience in managing complex M&A and investment transactions, strong legal drafting and negotiation skills, and the ability to provide strategic, commercially practical legal advice while managing regulatory and compliance requirements.

Key Responsibilities:

1. M&A, Investments & General Corporate:

- Lead legal aspects of M&A, private equity, investments, fintech-related transactions and other corporate development initiatives.

- Structure and evaluate proposed transactions in collaboration with internal stakeholders.

- Draft, review and negotiate term sheets, definitive agreements and transaction/closing documentation.

- Advise on corporate law matters, business models, commercial arrangements and general corporate transactions.

- Identify legal risks and develop practical mitigation strategies.

- Manage external legal counsel and coordinate complex transactions within tight timelines.

2. Legal Advisory & Commercial Contracts:

- Provide strategic and practical legal advice to business and commercial teams.

- Lead general contract drafting, review and negotiation.

- Support business operations by identifying legal implications and recommending appropriate solutions.

- Advise on domestic and cross-border commercial transactions.

3. Compliance & Regulatory:

- Lead the compliance function and advise on applicable regulatory requirements.

- Monitor changes in laws and regulations and assess their business impact.

- Develop and implement compliance policies, processes and procedures.

- Partner with business and functional teams to ensure effective regulatory compliance.

- Oversee compliance registrations, certifications, training and internal communications.

4. Stakeholder & Team Management:

- Collaborate with senior leadership, business teams and external counsel.

- Drive legal projects independently while managing multiple priorities.

- Build efficient legal and compliance processes and promote a culture of accountability and risk awareness.

Mandatory Requirements:

- LL.B. from a recognized university in India.

- 12+ years of total professional experience, comprising:

1. 5 years in a law firm

2. 7 years in a corporate/in-house legal role

- Strong hands-on experience in M&A and General Corporate matters.

- Extensive experience in transaction structuring, drafting, reviewing and negotiating definitive agreements.

- Experience handling complex investments, commercial transactions and regulatory/compliance matters.

- Fewer than 4 job switches (maximum 3 switches).

- Strong stakeholder management, communication and business judgment skills.

- Ability to work independently and manage high-pressure, time-sensitive transactions.
