TALVERA HOLDINGS

Director of Finance & Tax - India

Talvera Global Finance Center - Noida, India - Job Description - Confidential

Position: Director of Finance & Tax - India

Entity: Talvera Holdings - enterprise (all brands + RostyrHR EaaS book)

Function: Shared Services - Group Finance

Reports To: Group Chief Financial Officer (CFO), direct and sole reporting line

Direct Reports: None at launch. Builds and assumes leadership of the India finance organization on the progression set out in Section 4.

Scope:

US and Canadian employment tax across all brands and every RostyrHR EaaS client; finance process quality, controls and close discipline across all India-based finance work; capability and structure of the India finance function.

Location: Noida, India - defined daily overlap with US business hours

Level:

Senior Director. Qualified Chartered Accountant or CPA. Compensated at the top of the India market band for this qualification - deliberately above a tax-processing band.

1. Position Summary:

Talvera runs a US, Canadian and Indian finance operation of real complexity - multiple brands, multiple FEINs, a franchise network, a growing healthcare vertical, and a RostyrHR Employer-as-a-Service book where Talvera files and pays employment taxes for its clients' field workforces. Roughly half the enterprise's internal headcount sits in Noida, and a large and growing share of the group's finance work is performed there.

This role is the CFO's finance principal in India. It is not a processing seat. It is a qualified, senior finance leader who takes personal ownership of the most unforgiving obligation the group carries - US multi-state employment tax - and, from that footing, becomes the single accountable owner of the quality, controls and capability of every finance process performed in India.

The role begins hands-on and deliberately narrow: every deposit, filing, remittance, registration and reconciliation, personally owned, with a clean record from day one. It does not stay narrow. Within the first year this person is expected to have a defensible, evidence-based view of how India finance is structured, where the process and control gaps are, which capabilities are missing, and what the function should look like at $200M+ of enterprise revenue - and to be the obvious candidate to lead it.

2. Why the Seat Is Set at This Level:

Talvera could hire a tax processor. That is not what this is, and the difference is deliberate:

- The obligation is not junior. Employment tax across many states, many FEINs and a client-facing EaaS book is a penalty-generating, agency-facing exposure. It requires professional judgment, not task execution.

- The CFO needs a peer in India, not a queue. The group CFO sits in the US. He needs one qualified person in the India day who can be trusted to see a problem, size it, and bring it forward with a recommendation attached.

- The function has to scale past its founders. The India finance team was assembled through acquisition. As the enterprise grows and the EaaS book scales, that function has to move from acquired practice to designed process - SOPs, controls, automation, segregation of duties, close discipline. That is a build, and builds need a builder with standing.

- Succession is the point. Talvera has no bench in India finance. This hire is the bench. The seat is priced and scoped so that the person who takes it can credibly run the entire India finance organization within twelve to eighteen months.

3. Primary Responsibilities:

A. US & Canadian Employment Tax - owned personally from day one:

- Own the filing calendar - the complete federal, state and local employment tax calendar across every entity, FEIN and state. Every deposit and return filed on time, every period, no exceptions.

- Process federal, state and local obligations - 941/940 deposits and returns, federal withholding, FUTA; state withholding, SUTA returns and wage reports; local and municipal taxes in every jurisdiction where any brand or EaaS client places workers.

- Own tax payments and remittances - schedule, execute and confirm every payment, matched to liability and proven by reconciliation; give the CFO forward visibility of tax cash by entity and period.

- Own the registration pipeline - state withholding and unemployment accounts, local registrations and agency portal access for every new state a brand or EaaS client requires, ready ahead of need. The Director of Client Services owns the go-live date; this role owns the registrations being ready for it.

- Maintain rates and account standing - track SUI rate notices, apply changes on time, keep every state account clean, close accounts properly when exposure ends.

- Own the notice log - the single enterprise record of every agency notice, its deadline, owner and resolution. Resolve email-channel notices end to end; research, draft and drive US-received mail notices to closure through the US contact. Nothing ages silently.

- Own year-end - W-2 processing and corrections, 941-to-W-3 reconciliation, year-end state and local filings, amended returns, and recovery of overpayments.

B. Finance Process Quality & Controls Across India:

Every finance process performed in India - billing, collections and cash application, AP, payroll accounting, intercompany, reconciliations and close support - is in scope for quality and control, whoever performs it. This role does not take those teams over on arrival; it takes ownership of whether the output is right.

- Own the accuracy of what reaches the US. Establish what "right" means for each India-performed process, and the evidence that proves it - reconciliations that tie, exceptions that are worked, hand-offs that are documented.

- Build the control environment. Segregation of duties, approval thresholds, review evidence, and a documented month-end close calendar with owners and cut-offs.

- Standardize and document. Convert working knowledge held in people's heads into SOPs, checklists and controls that survive turnover.

- Automate. Use the payroll platform, tax engines, reporting stack and AI tooling to remove manual steps and absorb volume through process rather than headcount.

- Escalate honestly. Bring the CFO the real state of any process, with a root cause and a recommendation, before it becomes a US-visible problem. Reporting an issue accurately and early is a performance expectation of this role, not a risk to the person raising it.

C. Capability & Structure Assessment:

Within the first 120 days, and refreshed annually, this role delivers the CFO a written baseline of the India finance function:

- Process map - every finance process performed in India, who performs it, what it depends on, and where it breaks.

- Control and risk register - gaps ranked by exposure, with remediation sequenced.

- Capability read - the skills and qualifications the function has versus the skills a $200M+ multi-entity, multi-country platform with a scaling EaaS book requires; where the group is dependent on individuals; where it is under-qualified for what it is being asked to do.

- Target structure and cost - the recommended org design, role by role, with the sequence and budget to get there from today.

This assessment is delivered to the CFO. It is a standing expectation of the role and is not a comment on any individual; it is how the group decides where to invest.

D. Leadership & Team Building:

- Hire, train and lead the tax processing team as volume and the EaaS book grow, within approved plan.

- Develop the people already in the function - set standards, coach to them, and give the CFO an honest read on readiness and progression.

- Assume progressively broader leadership of India finance on the progression in Section 4, on demonstrated performance.

4. Progression - What This Role Grows Into:

This is a succession hire. The progression below is the expectation, not a possibility, and performance against it is reviewed formally by the CFO at each stage.

Phase:

What this person is doing:

What it proves:

Months 0 - 4: Every deposit, filing, registration and remittance personally owned. Calendar built. Notice log established. Baseline assessment delivered. Technical command and follow-through under a hard deadline.

Months 4 - 9: SOPs, controls and close discipline stood up across India-performed finance processes. Automation begun. First tax processors hired. Ability to design process, not just execute it.

Months 9 - 15: Broader operational leadership of India finance workstreams as agreed with the CFO. Target structure implemented in sequence. Standing with the team and judgment on people and structure.

Months 12 - 18: Candidate for Head of Finance - India, owning the full India finance organization and reporting to the Group CFO. Readiness to run the function.

5. Key Performance Indicators:

Timeliness & Accuracy:

- On-time deposit and filing rate - target 100%

- Penalty and interest dollars incurred - target zero, every exception root-caused

- Reconciliation variances identified and cleared per period

EaaS Readiness:

- Registration lead time versus client go-live dates - ready before the plan needs them

- SUI rate changes applied on time

Notices:

- Open notice count, average age, resolution time, and recurrence rate by root cause

Function Build:

- Month-end close calendar met; India-performed processes closing on time with evidence

- Processes documented and controlled versus total in scope

- Manual steps eliminated; volume absorbed without proportional headcount

- Baseline assessment delivered on time, with remediation tracked to closure

6. Decision Authority:

This role owns:

- The employment tax filing calendar, payment scheduling and processing workflow

- State registration sequencing and the tax readiness plan for every go-live

- Notice resolution strategy and prepared agency responses

- Finance SOPs, control design and automation for India-performed processes

- Hiring and structure of the tax processing team within approved plan

- Direct, unfiltered escalation to the Group CFO on any finance matter arising in India

Must escalate to the CFO:

- Penalty abatement requests and settlements above approved thresholds

- Agency audits and any matter requiring legal counsel

- Corporate income tax, India entity taxes (GST, TDS, professional tax) and other non-employment tax matters - these remain with the CFO and outside advisors

- Material payroll-system or tax-engine changes and vendor contracts

- Any change to India finance structure, roles or reporting lines

- Anything that could move a client go-live date (with the Director of Client Services)

7. Key Relationships:

Reports To:

Group Chief Financial Officer - direct and sole reporting line, with a standing weekly one-to-one

Peer Group:

Talvera India leadership; US Finance and Accounting leadership

Works Alongside:

Existing India finance and accounting leadership, on process quality, controls and close discipline

Internal Customers:

Payroll teams across all brands; RostyrHR leadership and the Director of Client Services; US Finance and Accounting

Cross-Functional:

US Finance (mailed-notice intake and triage); Director of Human Resources (employee tax data); VP of Risk Management (payroll and class-code data for WC premium and audit)

External:

Federal, state and local tax agencies; payroll platform and tax-engine vendors; outside tax advisors

8. Required Qualifications & Experience:

Required:

- Qualified Chartered Accountant (ICAI) or US CPA. This is a hard requirement - the seat is a professional finance leadership role, not a processing role.

- 10 - 15+ years of progressive finance experience, including leadership of a finance or shared-services team of meaningful size supporting US operations.

- Deep, hands-on command of US multi-state employment tax - federal deposits and returns, state withholding and unemployment, local taxes and year-end - gained by processing it, not only reviewing it.

- Experience across many states and multiple FEINs, ideally in staffing, PEO/EaaS, or a high-volume payroll processing environment.

- Proven ownership of tax calendars, reconciliations and agency notice resolution with a record of on-time, penalty-free operation.

- Demonstrated control and process build - has personally designed SOPs, controls, close calendars and segregation of duties in a growing or newly integrated finance function.

- Experience with US payroll platforms and employment-tax engines (MasterTax, ADP SmartCompliance or equivalent) and with an ATS/back-office system such as Avionte.

- Excellent written and spoken English - agency correspondence, executive reporting, and direct communication with a US CFO and US leadership.

- Willingness to work a defined daily overlap window with US business hours.

Strongly Preferred:

- Big 4 or large-firm training, followed by industry shared-services leadership

- EaaS/PEO experience - state registrations, SUI rate management, client-level tax setup

- Experience in a private-equity-backed or acquisitive group, integrating acquired finance teams onto common process

- US GAAP exposure and month-end close ownership

- Experience automating finance and tax workflows, including with AI tooling

9. Success Traits:

We hire for behaviors, not personality. This role demands:

- Deadline-absolute - treats every deposit and filing date as immovable and engineers the process so it is.

- Precise - reconciles to the dollar and is not comfortable until it ties.

- Candid - tells the CFO what is actually true about a process or a number, early, with a recommendation attached. Comfortable delivering an unwelcome finding.

- Builder - documents and automates from day one so a one-person department becomes a function.

- Ownership - every FEIN, state and client; no obligation is somebody else's.

- Ambitious - wants the larger job and is prepared to earn it on evidence.

- Credible across cultures and time zones - carries authority with a US executive team and with an India team, and works comfortably across both days.

10. AI Expectations:

AI is a core operating capability at Talvera. This role is expected to:

- Automate filing-calendar monitoring, deposit scheduling and confirmation tracking

- Reconcile liabilities to payments at scale and surface variances early

- Draft agency notice responses and registration filings with AI assistance, reviewed for accuracy

- Ask of every workflow in India finance: can this be automated, can AI improve it, can manual effort be eliminated

11. Operating Rhythm:

Talvera runs on EOS. This role owns:

- Quarterly Rocks tied to on-time performance, penalty elimination, registration readiness and the process/control build

- A weekly Scorecard of filings, payments, reconciliations and open notices

- An Issues List worked to resolution, and participation in the finance L10

- A standing weekly one-to-one with the Group CFO

- People development as the team grows

12. Compensation & Level:

Budgeted at the top of the India market band for a qualified CA/CPA with US shared-service leadership experience - explicitly above a tax-processing band, and set to attract candidates who are currently leading finance teams rather than performing tax work. Target range: [ to be confirmed with CFO ]. Structured with a performance component tied to the KPIs in Section 5 and to progression against Section 4.

Recruiting note: candidates should be sourced against the qualification and leadership criteria above. Screening on tax processing experience alone will produce the wrong shortlist.
