Deputy Manager/Manager - Company Secretary Responsibilities: Ensuring all the secretarial compliances under Companies Act, 2013 including - Ensuring compliances w.r.t board meetings and general meetings - Compliances with Secretarial Standard - 1 & Secretarial Standard - 2 - Issue of Non-Convertible Debentures (NCDs) on private placement basis & related Companies Act filling & compliances. - Preparation of share certificates, statutory registers, attendance registers and related activities - Preparation of Annual Disclosures documents for all the Directors (MBP-1, DIR-8, etc) - Preparing & filings Forms with RoC on V2 & V3 portal Ensuring all the Compliances & NCD related activities with: - Debenture Trustee - Registrar & Transfer Agent (RTA) - Depositories (CDSL & NSDL) Efficiently managing Investors' relationship related activities: - Intimations about interest/principal payment - Intimations about upcoming investments - Replying to investors' ad hoc queries & related request if any. Further, candidate will also be responsible for: - RBI compliances applicable to the NBFC (Filing applicable returns on CIMS Portal, Drafting policies as required by RBI, etc) - Drafting, Reviewing & Vetting of the legal agreements (NDA, Service Agreements, etc) - PoSH Compliance Skills Required: - Demonstrated experience of working on MCA portal - Interpretation of laws - Eye for detail - Liaising with external authorities - Drafting & Vetting Legal documents
