Candidate Profile:
- Company secretary with 3-4 years of post-qualification experience.
- Candidate with an additional degree in law (LLB) will be given preference.
- In-depth knowledge of the Companies Act, 2013, SEBI regulations i.e., LODR, PIT, Takeover Code, Share Based Employee Benefits, and other applicable legal and regulatory frameworks for listed and unlisted Companies.
- Strong understanding of corporate governance principles and best practices.
- Exposure to secretarial and legal compliances and drafting of various documents and having working knowledge in MS Office and G-suite application.
- Theoretical and practical knowledge of Corporate and local laws and basic understanding of financial information;.
- Good verbal and written communication skills and analytical approach.
Job Description:
- Provide support to the Company Secretary & Compliance Officer in managing all company secretarial and compliance matters.
- Organizing, preparing agendas, notices, relating documentation, and taking/ preparing minutes of board, committee, and general meetings and other statutory documents;.
- Company and LLP routine and event-based compliances, due diligence of the secretarial and legal compliances;.
- Periodic and event-based compliances under SEBI Regulations applicable to Listed Companies;.
- Preparation of XBRL financials, maintaining statutory books, including registers of members, directors, and secretaries, maintaining compliance calendar and filing of various e-forms, returns, and other related documents with ROC and other authorities such as RBI, local authorities, Depositories, stock exchanges, etc.
- Drafting and vetting of shareholders' agreements, business agreements, MoUs, legal documents other secretarial documents and papers;.
- Obtaining and maintaining business and operational-related licenses; labor law compliances - maintain registers, filing of returns, etc.
- FEMA compliances: filing of returns, forms, documents with RBI, and other related compliances;.
- Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action
- Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
