Coverfox - Assistant Vice President - Legal - LLB/LLM

Role Summary:

We are seeking an experienced legal professional to support transaction advisory and equity investment matters. The role requires strong expertise in corporate, technology, and insurance laws, along with the ability to manage complex legal documentation, ensure regulatory compliance, and provide strategic legal guidance aligned with business objectives.

Key Responsibilities:

- Manage end-to-end legal support for transactions and equity investments, including structuring, negotiations, and documentation.

- Draft, review, and negotiate transaction documents such as Shareholders Agreements (SHA), Share Purchase Agreements (SPA), investment agreements, and other commercial contracts.

- Provide legal advisory on matters relating to corporate, technology, and insurance laws.

- Conduct legal due diligence, identify risks, and recommend mitigation strategies for transactions and investments.

- Ensure compliance with applicable laws, regulatory requirements, and internal governance standards.

- Liaise with internal stakeholders, external counsel, regulators, and business partners on legal and compliance matters.

- Support corporate governance, policy formulation, and maintenance of legal documentation.

- Stay updated on regulatory changes and assess their impact on business operations.

Eligibility Criteria:

- Experience: 8-10 years of post-qualification experience, with strong exposure to Transactions and Equity Investments.

- Education: LLB / LLM from reputed institutions; NLUs / NLS preferred.

- Strong knowledge of corporate, technology, and insurance laws.

- Excellent drafting, negotiation, analytical, and stakeholder management skills.
