Reporting To: Manager / Senior Manager - M&A Tax

Role Overview:
As an Assistant Manager - M&A Tax, you will be a key part of the firm's tax transaction advisory practice. You will work with a diverse portfolio of corporate clients, private equity investors, and high-net-worth individuals on complex mergers, acquisitions, restructuring, and other transactions. Your role will involve providing tax due diligence, structuring advice, transaction execution support, and regulatory compliance across sectors.
Key Responsibilities:
1. Tax Due Diligence:
- Lead and manage tax due diligence assignments for buy-side and sell-side transactions.
- Identify potential tax exposures, contingencies, and compliance gaps.
- Draft due diligence reports and executive summaries highlighting critical tax issues.
- Interact with target companies for information gathering and clarification.
2. Transaction Structuring:
- Advise on tax-efficient structuring of transactions, including mergers, demergers, business transfers, and share acquisitions.
- Provide insights on Income Tax Act, Capital Gains, MAT, GAAR, DTAA, and related provisions relevant to the transaction.
- Prepare and present detailed tax memoranda and structuring notes to clients.
3. Regulatory and Compliance Support:
- Assist in obtaining approvals and rulings from tax authorities, if required.
- Review transaction documents such as Share Purchase Agreements (SPA), Business Transfer Agreements (BTA), etc., from a tax perspective.
- Support in valuation coordination, stamp duty analysis, and FEMA implications where applicable.
4. Client & Project Management:
- Serve as a primary point of contact for clients during engagements.
- Ensure timely execution and delivery of high-quality tax deliverables.
- Coordinate with internal teams across Legal, Regulatory, Audit, Transfer Pricing, and Valuation as part of transaction execution.
5. Research & Thought Leadership:
- Conduct research on emerging tax issues, circulars, judicial precedents, and regulatory updates.
- Support the development of internal knowledge base and white papers on M&A taxation.
- Participate in business development initiatives and proposal preparation.
Required Skills & Competencies:
- Deep understanding of the Indian Income Tax Act, Corporate Taxation, and relevant M&A tax provisions.
- Exposure to deal execution lifecycle, including due diligence, structuring, and documentation.
- Familiarity with corporate law, FEMA, SEBI regulations, and international taxation concepts.
- Strong analytical and problem-solving skills.
- Excellent verbal and written communication and client-handling abilities.
- Proficiency in MS Office (Excel, Word, PowerPoint) and tax research tools (e.g., Taxmann, Manupatra, IBFD).
Preferred Experience:
Articleship or work experience in a Big 4 or mid-sized tax advisory firm.
Hands-on experience with transaction tax or corporate restructuring assignments.
Exposure to cross-border transactions is an added advantage.
