Role Overview:

A leading real estate organization based in Navi Mumbai is looking to hire an experienced Company Secretary to manage corporate governance, statutory compliance, and legal coordination.

The role is largely focused on secretarial responsibilities with partial exposure to legal matters related to real estate operations.

The ideal candidate will have strong knowledge of corporate laws, compliance requirements, and governance standards, along with the ability to work closely with senior management and external stakeholders.

Key Responsibilities:

Corporate Governance:

- Ensure compliance with the Companies Act, SEBI regulations, and other applicable statutory requirements.

- Assist in the formulation, implementation, and monitoring of corporate governance policies.

- Support the Board of Directors by preparing agendas, board papers, minutes, and resolutions.

- Ensure timely follow-up and implementation of board decisions.

Secretarial Functions:

- Organize, coordinate, and attend Board Meetings, Committee Meetings, and General Meetings.

- Prepare accurate minutes and maintain official records.

- Maintain statutory registers, records, and company documentation.

- Ensure timely filing of statutory forms and returns with regulatory authorities.

- Handle documentation related to shareholding, corporate restructuring, and regulatory filings.

Legal & Compliance (Real Estate Focus):

- Oversee and review legal documentation related to property transactions, agreements, and contracts.

- Coordinate with external legal advisors on matters related to:

Land acquisitions:

- Real estate transactions

- Property disputes and compliance

- Ensure adherence to local laws, property regulations, and real estate sector policies.

Regulatory Filings & Documentation:

- Prepare and file annual returns, financial statements, and statutory disclosures.

Manage corporate filings related to:

- Changes in company structure

- Shareholding alterations

- Corporate actions and approvals

- Advisory & Strategic Support

- Provide secretarial and legal advisory support to senior management.

- Assist in M&A activities, joint ventures, corporate restructurings, and strategic initiatives.

- Support compliance due diligence and documentation for business expansions.

Qualifications & Skills

- Qualified Company Secretary (CS) (mandatory).

- LLB is an added advantage but not mandatory.

- 3-5 years of post-qualification experience, preferably in the real estate sector.

- Strong understanding of corporate laws, governance frameworks, and property-related legalities.

- Excellent communication, organizational, and interpersonal skills.

- Proficient in MS Office and secretarial/compliance management tools.

- High level of attention to detail and ability to manage multiple compliance timelines.
