Role Overview:


We are seeking a seasoned Company Secretary to join our leadership team in Chennai, specifically to oversee the governance and regulatory framework of our NBFC operations. In this role, you will serve as the primary custodian of corporate compliance, ensuring that all board processes, statutory filings, and secretarial records align with the evolving mandates of the RBI and the Companies Act. You will work closely with the Board of Directors, senior management, and external regulatory bodies to mitigate legal risks and uphold the highest standards of corporate governance. Your contribution will be pivotal in maintaining the company's regulatory health, enabling the business to scale confidently while navigating the complex compliance landscape of the Indian financial services sector.


Key Responsibilities:


- Manage the end-to-end secretarial functions, including the preparation of board agendas, minutes, and resolutions to ensure seamless decision-making processes for the leadership team.

- Oversee comprehensive compliance with RBI regulations, SEBI guidelines, and the Companies Act to protect the organization from regulatory penalties and reputational risk.


- Facilitate the smooth conduct of Board Meetings, General Meetings, and Committee meetings by coordinating with stakeholders and ensuring adherence to procedural requirements.

- Maintain and update statutory registers and records to ensure transparency and readiness for internal and external audits.


- Advise the management team on corporate governance best practices and legislative changes to foster a culture of ethical conduct and operational excellence.

Required Skillset:


- Demonstrated expertise in handling secretarial compliances specifically within the NBFC or broader BFSI sector, with a deep understanding of RBI master directions.

- Proven ability to communicate complex legal and regulatory requirements to board members and senior stakeholders with clarity and professional authority.


- Strong proficiency in drafting legal documents, notices, and reports that meet stringent regulatory standards.

- Qualified Company Secretary (ACS/FCS) with a solid academic foundation and a track record of managing high-stakes corporate governance projects.


- Highly adaptable professional capable of working effectively in an on-site environment in Chennai, managing multiple priorities in a fast-paced financial services setting.
