Summary : The role of the incumbent shall include ensuring timely filings of necessary intimations / forms, returns with MCA, Stock Exchanges, drafting / review of agenda notes, preparation of minutes, vetting of annual report documents, co-ordination with RTA for necessary reports & confirmations and tracking investors' grievances to closure, attending to internal requirements, co-ordination with HoDs and management for necessary confirmations & disclosures, preparation / review of directors' disclosures and declarations, overseeing PIT compliances & monitoring, co-ordination with auditors and submission of timely information / documents with them, maintenance of statutory registers, repository for policies, SOPs, and any other compliance activity or assignment as may be required under the law, from time to time.
Role : Vetting / review of Agenda notes, draft Minutes, annual report related documents including necessary co-ordination with stakeholders.
- Review & ensure adherence to pre & post meeting compliances including specific compliance activities.
- Facilitate statutory / regulatory compliances & overseeing / ensuring filings with MCA & stock exchanges on a periodical / event basis in a timely manner.
- Preparation / review of necessary disclosures & declarations to be obtained from Directors & Senior Management, from time to time.
- Liaison with regulatory authorities and other stakeholders for various compliance related matters.
- Vetting / review of the policies as may be required from time to time.
- SPOC for repository for policies / SoPs and correspondence with Compliance team for Compliance Testing and other matters, as may be sought from time to time.
- Co-ordination with auditors for smooth conduct of respective audit (Internal, Secretarial, Statutory) and provide necessary documents, clarification, explanation to them.
- Co-ordination with Registrar & Share Transfer Agent (RTA) for periodical reports and tracking of grievances to closure.
- Ensuring receipt of periodical compliance confirmations and other matters, as may be required from time to time.
- Attending to internal requirements including but not limited to providing necessary clarifications / documents to the concerned on a timely basis.
- Overseeing ESOP compliances including submissions with Depositories and Exchanges.
- Maintenance of Statutory Records and Registers as required under the provisions of Companies Act and other applicable laws.
Skills
- Practical knowledge on handling SEBI compliances
- Strong interpersonal and communication skills.
- Good writing skills (non-negotiable)
- Good knowledge in MS Office
- Work experience in Financial services sector will be a plus
