
We are hiring for one of our Client who is in to Mutual Fund Industry and looking for a Company Secretary with 3+ years of experience in the Mutual Fund Industry.
To ensure the Pension Fund Manager operates within the framework of applicable laws, regulations, and governance standards.
The role combines statutory responsibilities under the Companies Act with regulatory compliance obligations under pension fund regulations, ensuring transparency, accountability, and ethical conduct.
Further, kindly find the below responsibilities :
- Organize board meetings, prepare agendas, draft minutes, and maintain statutory registers.
- Ensure timely filing of returns, reports, and disclosures with regulators (e.g., Registrar of Companies, Pension Fund Regulatory and Development Authority - PFRDA).
- Advise the Board and senior management on corporate governance practices and compliance with the Companies Act.
- Manage annual general meetings, shareholder queries, and disclosures.
- Monitor adherence to pension fund regulations, investment guidelines, and reporting standards.
- Develop and enforce compliance policies, codes of conduct, and internal controls.
- Liaise with internal and external auditors, regulators, and inspection authorities.
Total Work Experience: 3-5 years
Skills & Knowledge :
1. Effective interpersonal and Ability to influence decision-making and foster compliance culture.
2. Ability to work well within a team and individually.
3. Ability to work long hours when needed.
4. Well versed with SEBI (MF) Regulations
5. Root cause analysis
6. Experience of working in Pension Fund Manager
7. High ethical standards and confidentiality.
Qualification : CS with relevant experience
