
Role Overview:
We are seeking a 10+years experience accomplished Company Secretary to join at corporate office in Chennai. In this pivotal role, the candidate will be responsible for ensuring the company's compliance with all applicable compliances, managing corporate governance matters, and providing strategic advice to the Board of Directors. You will collaborate closely with senior management, legal counsel, and various internal teams to maintain the highest standards of corporate governance and ethical conduct. Your expertise will be instrumental in safeguarding the company's reputation and ensuring its long-term success.
Key Responsibilities:
- Ensure meticulous compliance with the Companies Act, SEBI regulations, and other relevant laws, minimizing legal and financial risks for the organization.
- Drafting and vetting of agreements/ contracts
- Manage all aspects of corporate governance, including board meetings, shareholder meetings, and committee proceedings, ensuring adherence to best practices and regulatory requirements.
- Advise the Board of Directors and senior management on legal and regulatory matters, providing strategic guidance to support informed decision-making.
- Oversee the preparation and filing of statutory returns, reports, and other documents, ensuring accuracy and timeliness to maintain regulatory compliance.
- Develop and implement corporate policies and procedures, promoting a culture of ethical conduct and compliance throughout the organization.
- Manage relationships with regulatory authorities, external auditors, and legal counsel, ensuring effective communication and collaboration.
- Handle secretarial audit and compliance certifications.
Required Skillset:
- CS with 10-15 years post qualification experience
- Candidates from manufacturing industry
- Possesses in-depth knowledge of corporate law, SEBI regulations, and other relevant legal and regulatory frameworks.
- Demonstrates exceptional communication, interpersonal, and presentation skills, with the ability to effectively interact with senior management, board members, and external stakeholders.
- Exhibits strong analytical and problem-solving abilities, with a keen attention to detail and a commitment to accuracy.
- Holds a professional qualification as a Company Secretary (ACS/FCS) from the Institute of Company Secretaries of India (ICSI).
- Displays proven ability to lead and manage a team, fostering a collaborative and high-performance work environment.
- Capable of working effectively in a fast-paced and dynamic environment, adapting to changing priorities and deadlines.
- Minimum of 12-15 years of relevant experience in a similar role.
