About the Company:
A leading and renowned organisation in the paper and packaging industry, known for its strong market presence, innovation-driven approach, and sustainable manufacturing practices. The company is expanding its operations and seeks an experienced and strategic Company Secretary to ensure robust governance, compliance, and corporate legal management.
Key Responsibilities:
1. Statutory & Regulatory Compliance:
- Ensure compliance with the Companies Act, 2013, SEBI regulations (if applicable), and other statutory requirements.
- Manage and maintain statutory registers, records, and filings with ROC, MCA, and other authorities.
- Oversee periodic filing of returns, forms, and disclosures within prescribed timelines.
2. Board & General Meetings:
- Organise, convene, and record Board Meetings, Committee Meetings, and AGMs.
- Prepare Board agendas, notices, and minutes in line with statutory and secretarial standards.
- Advise the Board on governance matters and ensure decisions are implemented in compliance with the law.
3. Corporate Governance & Advisory;
- Act as a key advisor to the Board on corporate governance best practices.
- Liaise with directors, regulators, auditors, and stakeholders to maintain high governance standards. Monitor changes in legal and regulatory frameworks affecting the company and suggest appropriate actions.
4. Legal & Contractual Matters;
- Draft, vet, and review various agreements, MOUs, and contracts to safeguard the companys interests. Support in handling legal notices, disputes, and liaising with external counsel when required.
5. Secretarial Audits & Reporting:
- Coordinate Secretarial Audits, Internal Audits, and Due Diligence processes.
- Ensure accurate and timely reporting to management and regulatory bodies.
6. Liaison & Stakeholder Management
- Liaise with government departments, banks, financial institutions, and regulators (MCA, SEBI, RBI, etc.).Handle investor relations, share transfers, and related compliance (if applicable).
Desired Candidate Profile:
Qualified Company Secretary (CS) from ICSI, with 1015 years of post-qualification experience in a manufacturing or industrial setup (preferably paper, packaging, or allied sectors).
Strong understanding of corporate laws, secretarial standards, and statutory compliance frameworks.
Excellent communication, drafting, and presentation skills.
High integrity, attention to detail, and the ability to work closely with senior management and the Board.
Exposure to listed company compliance will be an added advantage.
