Role Overview

We are seeking a qualified Company Secretary with experience in the insurance sector to ensure regulatory compliance, corporate governance, and secretarial functions in alignment with IRDAI regulations and Companies Act requirements. The role involves close coordination with senior management, regulatory authorities, and internal stakeholders.

Key Responsibilities:

- Ensure compliance with the Companies Act, 2013, SEBI regulations (if applicable), and Insurance Regulatory and Development Authority of India (IRDAI) guidelines.

- Manage Board Meetings, Committee Meetings, and Annual General Meetings (AGMs), including drafting notices, agendas, minutes, and resolutions.

- Filing of statutory returns, forms, and disclosures with MCA and IRDAI within prescribed timelines.

- Maintain statutory registers, records, and corporate documentation.

- Support in corporate governance framework implementation and policy drafting.

- Liaise with regulators, auditors, legal advisors, and external stakeholders.

- Ensure compliance with corporate governance norms applicable to insurance companies.

- Assist in regulatory inspections, audits, and internal compliance reviews.

- Monitor changes in insurance laws, secretarial standards, and regulatory circulars.

- Support senior management on compliance risk assessment and mitigation strategies.

Qualifications:

- Qualified Company Secretary (Member of Institute of Company Secretaries of India (ICSI)).

- 8+ years of relevant experience.

- Strong knowledge of IRDAI regulations, Companies Act, corporate governance, and secretarial practices.
