Role Purpose:

To strengthen corporate governance and ensure end-to-end statutory and regulatory compliance across the company and its domestic and international subsidiaries. The role will also support the functioning of the Board and Committees, manage filings, and contribute to key strategic initiatives including mergers, acquisitions, and CSR compliance.

Key Responsibilities

1. Corporate Governance & Compliance:

- Oversee compliance with the Companies Act, FEMA, and other applicable corporate and regulatory laws for all group entities, both in India and abroad.

- Experience in managing compliance frameworks for global subsidiaries will be an added advantage.

- Prepare and file necessary forms and documents with ROC, MCA, RBI, and NCLT within prescribed timelines.

- Maintain statutory registers, records, and ensure data integrity across all legal entities.

2. Board & Committee Management:

- Coordinate and manage meetings of the Board and its Committees, including agenda setting, documentation, circulation, and preparation of accurate minutes.

- Handle Annual and Extraordinary General Meetings and ensure compliance with Secretarial Standards and other governance protocols.

- Draft, review, and circulate board resolutions and ensure seamless approval processes.

3. Strategic & Corporate Transactions:

- Support corporate restructuring, mergers, acquisitions, and due diligence processes.

- Collaborate with cross-functional teams and external consultants for incorporation, liquidation, or overseas investment transactions.

4. CSR & Governance Programs:

- Manage CSR compliance end-to-end - from policy drafting and budget allocation to implementation and reporting.

- Work closely with the CSR Committee to monitor initiatives in focus areas such as education, healthcare, and community development.

5. Risk Management & Insurance:

- Administer global and domestic insurance programs, including D&O, Cyber, CGL, EPLI, and umbrella policies.

- Monitor renewals, ensure policy compliance, and coordinate with insurers and internal teams for claims management.

6. Stakeholder Coordination:

- Act as a key interface for directors, shareholders, auditors, regulators, and other stakeholders.

- Facilitate statutory, internal, and secretarial audits by ensuring accurate and timely documentation.

Skills & Competencies:

- Deep understanding of corporate laws, governance principles, and compliance systems.

- Strong drafting, analytical, and communication skills for handling regulatory and board-related documentation.

- Capability to manage multi-entity operations and complex global structures.

- High proficiency in MS Office Suite and secretarial compliance tools.

Educational Qualification & Experience:

- Qualified Company Secretary (CS) and/or LLB preferred.

- 4-8 years of experience in secretarial, governance, or compliance roles, preferably within diversified or multinational organizations.
