
This role is for a meticulous and experienced Legal & Compliance Manager / Company Secretary (the title may be adjusted based on the company's structure and the candidate's qualification/licensure).
The successful candidate will be responsible for managing the company's legal documentation, ensuring comprehensive statutory compliance, and advising the management on corporate governance best practices.
Key Responsibilities and Duties:
Legal Drafting, Vetting, and Review:
- Drafting, scrutinizing, and negotiating a wide range of legal agreements, contracts, and documents.
- Specific focus on reviewing and finalizing Non-Disclosure Agreements (NDAs), vendor contracts, service agreements, and internal policies to mitigate legal risks.
Statutory and Regulatory Compliance:
- Ensuring timely and accurate adherence to all applicable laws and regulations, with a primary focus on the Companies Act, 2013, and SEBI Regulations (if applicable to the entity).
- Monitoring changes in statutory requirements and implementing necessary internal process updates.
Record Keeping and Filings:
- Maintaining, updating, and safeguarding all statutory records, minute books, registers, and compliance documentation meticulously.
- Managing and coordinating the timely filing of required forms and returns with the Registrar of Companies (RoC) and other regulatory bodies.
Corporate Governance and Advisory:
- Advising the Board and Senior Management on matters related to Corporate Governance, best practices, and ensuring adherence to ethical standards.
- Providing expert guidance on regulatory matters, risk assessment, and legal implications of business decisions.
Coordination and Stakeholder Management:
- Liaising effectively with external legal counsels, auditors, compliance officers, and regulatory bodies (e.g., SEBI, RoC, Stock Exchanges) as required for filings, inspections, and advisory matters.
- Serving as a point of contact for legal and compliance inquiries from internal departments.
Preferred Qualifications:
- A professional qualification as a Company Secretary (CS) is highly desirable/mandatory (depending on the specific requirements of the company).
- A degree in Law (LL.B.) is an added advantage.
- Relevant experience (e.g., 5-8 years) in a similar role within a corporate legal/secretarial department or a reputable consulting firm
