
Role Overview:
We are seeking a seasoned Company Secretary to lead the secretarial and compliance function for one of our clients which is a well respected Auto Component MNC and an integral part of a large multi-company business group.
Key Responsibilities:
- Conduct annual general shareholders meet, board meetings, etc.
- Oversee end-to-end compliance with the Companies Act, SEBI (LODR) Regulations, and other relevant corporate laws to mitigate legal risks and ensure seamless operations for the listed entity.
- Manage the entire life cycle of Board and Committee meetings, including drafting agendas, recording minutes, and tracking action items to facilitate effective decision-making by the leadership team.
- Lead the preparation and filing of all statutory returns, disclosures, and reports with the Registrar of Companies and Stock Exchanges to maintain accurate public records and regulatory standing.
- Drive corporate governance initiatives by implementing best practices and policies that align the organization with global standards and enhance stakeholder trust.
- Act as the primary liaison between the company and regulatory authorities, including SEBI, Stock Exchanges, to resolve queries and ensure timely compliance with evolving mandates.
- Supervise the management of secretarial audits, internal audits, and due diligence processes to provide the Board with assurance regarding the company's legal health.
Required Skillset:
1. Qualifications:
- ACS, preferably with LLB.
2. Experience:
- Min 16 yrs post-qualification experience of working in listed companies only.
3. Functional Expertise:
- Conducting Board Meetings & General Meetings, issuance of Notices, Drafting Agendas, Recording Minutes and Preparing Annual Report/Corporate Governance Reports.
- Handling Mergers/Demergers, Technical Collaborations and Re-structuring with Due Diligence for Corporate actions.
- Must have exposure and be thoroughly conversant with the Rules and Regulations of the following: Companies Act, 1956 and 2013, The SEBI Act, 1992, SEBI Guidelines, The Foreign Exchange Management Act, Listing Agreement of the Stock Exchanges, Depositories (NSDL & CDSL) Act and Rules thereunder for pre and post listing compliances, etc.
- Possess deep functional expertise in the Companies Act, 2013, SEBI (LODR) Regulations, FEMA, and other corporate laws, with a proven track record of managing compliance for large listed organizations.
- Demonstrate exceptional interpersonal and communication skills, enabling you to influence Board members, senior stakeholders, and external regulators with clarity and professional authority.
- Exhibit strong leadership capabilities to mentor internal teams and manage external consultants, ensuring a high-performance culture within the secretarial department.
