This is a Work from Office
1. Educational background from good school and college. Degree in law (LLB /LLM). Additional qualification of company secretary (CS) is desirable.
2. Post qualification experience of 15 years in industry in core function of legal & cs areas. Partial experience in law firms / PCS will also be considered.
3. Industry experience in power sector (thermal power preferred) is desirable for a reasonable number of years out of total work experience. Work experience in renewable sector will be recognised as part of power sector. Experience in other sectors, if any, like FMCG, Infra, Steel, Cement etc will be considered for determining overall no. of years work.
4. Dealing with regulatory affairs viz Electricity Regulatory Commission, Tribunal (APTEL) and courts related to electricity matters is desirable.
5. Dealing with Courts / NCLT for IBC and other Company matters.
6. Reasonable work experience in dealing with Discoms, LDC (Load Despatch Centres), CEA, Ministry of Power, Ministry of Environment & Forests, is required.
7. Dealing / work experience with all major vendors viz Coal Supplier, EPC, O&M etc and contract initiation, negotiation, execution and management of these major contracts.
8. Strong skill in drafting of contracts, deeds, documents, NDA, Share Purchase Agreement, JV etc.
9. Ability to handle other economic laws apart from electricity matters viz company law, environmental laws, civil laws, FEMA, RBI, FDI, Capital Market regulations, accounting standards etc.
10. Worked closely with external counsels, participated in briefing, discussions and strategic sessions for litigations for / against the organisation. Court experience desirable.
11. Litigation management monitoring each case vis a vis the external lawyers.
12. Experience in handling financing documents with FIs / Banks, creation of security, pledge, undertakings of promoters etc
13. Familiarity with MCA forms and filing.
14. Preparation of MIS reports and briefing management of legal matters, risk analysis, taking pre-emptive steps, conducting research on the litigation matters with legal judgements, recommendations etc.
15. Legal compliance system implementation or framing and implementation.
16. Legal Updates Regularly updating the change in laws, effect on the organisation and preparing notes for internal circulation to functional heads, board of directors etc periodically.
17. Sound experience in all secretarial matters like meetings of board of directors, committee of board, shareholders, preparation of minutes of meetings, monitor compliances, handling secretarial audit, skilled in company law matters and economic laws including Fema, IBC, Environmental laws, Arbitration etc
18. Experience in dealing with statutory and internal auditors for matters related to functional area for audit closing, addressing observations of auditors, interpretation of orders of legal forum.
19. A strong command of oral and written communication.
20. Ability to interact with the functional and cross functional teams
Qualifications:
- 10-19 years work experience Post Qualification.
- Must have experience in the Power/ Energy/ Renewable Energy sector.
- Bachelor's degree in Law and should be a qualified Company Secretary.
