Job Title: Company Secretary & Legal Counsel

Job Summary:
We are seeking an accomplished Company Secretary & Legal Counsel with strong expertise in corporate governance, compliance, and IPO processes. The ideal candidate will bring deep understanding of Indian corporate laws, SEBI regulations, and listing requirements, and will play a strategic role in supporting the company's growth, governance, and regulatory preparedness.
Key Responsibilities:
1. Company Secretarial Functions
- Ensure compliance with Companies Act, 2013, SEBI regulations, and other applicable laws.
- Manage Board meetings, AGMs, and Committee meetings, including preparation of notices, agendas, and minutes.
- Maintain statutory registers and filings with MCA, ROC, and stock exchanges.
- Advise the Board on best practices in corporate governance and evolving regulatory frameworks.
2. Legal & Compliance Management
- Draft, review, and negotiate contracts, agreements, and MoUs with clients, vendors, and stakeholders.
- Oversee litigation management, liaising with external legal advisors and counsels.
- Ensure regulatory compliance across corporate, labour, intellectual property, and data protection laws.
- Develop internal legal policies, risk management frameworks, and compliance checklists.
3. IPO and Capital Market Expertise
- Lead and coordinate the IPO readiness process, including due diligence, documentation, and liaising with merchant bankers, auditors, and regulators.
- Prepare and review the Draft Red Herring Prospectus (DRHP) and related filings.
- Support post-listing compliance, disclosures, and governance practices as per SEBI (LODR) regulations.
4. Strategic & Advisory Role
- Provide legal advisory to management on strategic initiatives, M&A, and corporate restructuring.
- Support business teams with guidance on legal risks and contract negotiations.
- Serve as a trusted partner to the Board and leadership on governance and risk mitigation.
Qualifications & Skills:
- Qualified Company Secretary (ACS/FCS) from ICSI; LLB mandatory (LLM preferred).
- Minimum 10 years of post-qualification experience, preferably with listed or IPO-bound companies.
- Strong knowledge of Companies Act, SEBI, FEMA, and other corporate laws.
- Proven experience managing IPO processes and investor relations.
- Excellent communication, drafting, and stakeholder management skills.
- High integrity, discretion, and ability to work in fast-paced, dynamic environments.
Preferred Background:
- Experience in a mid-to-large Indian organisation or diversified business group.
- Exposure to corporate finance, M&A, or cross-border transactions will be an advantage.
- Based in or open to relocation to Gurgaon, Haryana.
