
About The Role:
The Company Secretary will be responsible for ensuring the Company's compliance with all applicable legal and regulatory requirements while maintaining the highest standards of corporate governance. The role will provide strategic guidance to the Board of Directors and senior management on governance matters, oversee statutory compliance, manage shareholder relations, and ensure timely preparation and filing of all legal and corporate documents.
Key Responsibilities:
- Ensure adherence to corporate governance principles and compliance with all applicable laws, regulations, and statutory requirements.
- Act as the principal liaison between the Board of Directors and the management on governance and legal matters.
- Organize and manage Board Meetings, Committee Meetings, and Annual General Meetings (AGMs), including preparation of agendas, recording and circulation of minutes.
- Ensure timely and accurate filing of statutory returns and regulatory documents with the concerned authorities.
- Draft, review, and maintain legal documents, contracts, agreements, resolutions, and corporate records.
- Identify legal and regulatory risks associated with business operations and recommend appropriate mitigation measures.
- Manage shareholder communications and ensure timely dissemination of statutory information and dividend-related communications.
- Maintain statutory registers, corporate records, and all legal documentation in compliance with regulatory requirements.
- Advise the Board and senior leadership on corporate governance, legal obligations, and the impact of changes in laws and regulations.
- Conduct awareness sessions and provide guidance to Directors and senior executives on their legal responsibilities and governance practices.
Qualifications:
- Qualified Company Secretary (ACS/FCS) from the Institute of Company Secretaries of India (ICSI).
- Bachelor's Degree in Law, Business Administration, or a related discipline will be additional advantage.
Experiences:
- Minimum 6+ years of experience as a Company Secretary or in a Legal & Compliance role.
- Experience in a publicly listed company will be preferred.
- Exposure to corporate governance practices in large or multinational organizations will be an added advantage.
- Familiarity with industry-specific regulatory requirements is desirable.
Skills and Key Competencies:
- Strong knowledge of Corporate Laws, SEBI Regulations, Companies Act, Secretarial Standards, and Corporate Governance practices.
- Excellent understanding of statutory and regulatory compliance requirements.
- Strong drafting, documentation, and legal interpretation skills.
- Excellent communication, interpersonal, and stakeholder management abilities.
- High level of integrity, confidentiality, and professional ethics.
- Strong analytical, organizational, and problem-solving capabilities.
- Ability to manage multiple priorities while ensuring accuracy and timely compliance.
