
About the Role:
A listed entity is looking to hire a Company Secretary to support the Company Secretary and CFO Office in ensuring robust corporate governance, regulatory compliance, and board governance in a listed company environment.
Key Responsibilities:
- Prepare and review stock exchange filings, disclosures, and regulatory submissions.
- Support Board and Committee meetings, including agenda preparation, minutes, resolutions, and action tracking.
- Manage statutory filings with ROC, stock exchanges, and other regulatory authorities.
- Execute corporate actions such as Board changes, KMP appointments, dividend declarations, and related filings.
- Support governance processes including Insider Trading (PIT), Related Party Transactions (RPT), and other compliance frameworks.
- Coordinate secretarial audits and facilitate timely closure of audit observations.
- Liaise with internal stakeholders, regulators, stock exchanges, depositories, RTAs, and external advisors.
- Maintain statutory records, compliance calendars, and governance documentation while driving process improvements.
Candidate Profile:
- Qualified Company Secretary (ICSI) with 7-9 years of post-qualification experience.
- Mandatory experience in a listed company with hands-on exposure to SEBI LODR, stock exchange compliances, and corporate secretarial functions.
- Strong knowledge of corporate and securities laws with excellent drafting and stakeholder management skills.
- Detail-oriented professional capable of working in a fast-paced, compliance-driven environment.
