
Role Overview:
We are seeking a highly experienced and dynamic Company Secretary to join our leadership team in Bangalore. In this pivotal role, you will be responsible for ensuring the company's compliance with all applicable legal and regulatory requirements, managing corporate governance practices, and acting as a key liaison between the company, its board of directors, shareholders, and regulatory bodies. You will collaborate closely with senior management, legal counsel, and various internal teams to provide expert guidance on corporate law, secretarial standards, and best practices. Your expertise will directly contribute to maintaining the highest standards of corporate governance, mitigating risks, and fostering investor confidence, ultimately safeguarding the company's reputation and long-term success.
Key Responsibilities:
- Ensure meticulous compliance with the Companies Act, SEBI regulations, and other applicable laws, minimizing legal and regulatory risks for the organization.
- Manage all aspects of corporate governance, including board meetings, shareholder meetings, and committee meetings, ensuring adherence to best practices and statutory requirements for the benefit of all stakeholders.
- Oversee the preparation and filing of all statutory returns, reports, and documents with regulatory authorities, ensuring timely and accurate submissions to maintain compliance and transparency.
- Conduct thorough statutory audits and internal compliance reviews, identifying potential risks and implementing corrective actions to strengthen the company's control environment.
- Provide expert legal and secretarial advice to the board of directors and senior management on corporate law, governance matters, and regulatory requirements, enabling informed decision-making and strategic planning.
- Develop and implement robust risk management frameworks and policies, identifying, assessing, and mitigating potential risks to protect the company's assets and reputation.
- Manage effective corporate communication with shareholders, investors, and other stakeholders, ensuring transparent and timely dissemination of information to foster trust and confidence.
- Oversee the preparation and review of financial reports, ensuring compliance with accounting standards and regulatory requirements to maintain financial integrity and transparency.
- Manage investor relations activities, including shareholder communications, annual reports, and investor presentations, fostering positive relationships and attracting investment.
- Ensure adherence to corporate law and best practices, providing guidance and training to employees on compliance matters to promote a culture of ethical conduct and accountability.
Required Skillset:
- Demonstrated expertise in corporate law, secretarial practices, and regulatory compliance, enabling effective management of legal and governance matters.
- Proven ability to manage statutory audits, compliance reviews, and risk management frameworks, ensuring adherence to regulatory requirements and mitigating potential risks.
- Exceptional communication, interpersonal, and presentation skills, facilitating effective interaction with board members, senior management, and external stakeholders.
- Strong analytical and problem-solving skills, enabling identification of potential compliance issues and development of effective solutions.
- Ability to work independently and collaboratively in a fast-paced environment, managing multiple priorities and meeting deadlines effectively.
- Qualified Company Secretary (ACS/FCS) with a strong academic background in law or a related field.
- Adaptable to on-site work environment in Bangalore.
