Job Summary:
We are seeking a qualified and detail-oriented Company Secretary to oversee corporate governance, statutory compliance, and secretarial functions of the organization. The role involves ensuring compliance with the Companies Act, 2013 and other applicable laws, supporting the Board and senior management, and driving process efficiency through structured governance and technology-enabled compliance management.
Key Responsibilities:
- Oversee and manage all company secretarial, corporate governance, and statutory compliance activities in line with applicable laws and regulations.
- Maintain and update statutory registers, records, filings, disclosures, and returns within prescribed timelines.
- Coordinate, manage, and support Board Meetings, Committee Meetings, and General Meetings, including end-to-end preparation and follow-up.
- Draft, review, and finalize agendas, notices, minutes, resolutions, letters, and other secretarial documentation.
- Review and draft contracts, agreements, statements, and internal policies, ensuring compliance with statutory and legal requirements.
- Draft and manage legal correspondence with banks, regulators, and other external stakeholders.
- Review, update, and implement company policies to ensure alignment with evolving legal and regulatory frameworks.
- Monitor compliance with Companies Act, 2013, SEBI regulations, and other applicable corporate laws.
- Leverage technology and compliance tools to streamline documentation, filings, and governance processes.
- Drive continuous improvement initiatives to enhance compliance efficiency, accuracy, and governance standards.
Required Skills & Experience:
- 4+ years of professional experience in company secretarial, compliance, and corporate governance functions.
- Qualified Company Secretary (CS); LLB degree will be an added advantage.
- Bachelors or Masters degree in Law from a recognized and accredited institution.
- Strong working knowledge of the Companies Act, 2013, SEBI regulations, and other applicable corporate and regulatory laws.
- Hands-on experience in managing Board and shareholder-related compliances.
- Excellent drafting, documentation, and communication skills.
- Strong attention to detail, high integrity, and the ability to manage multiple priorities effectively.
Preferred Attributes:
- Proactive, process-oriented mindset with strong ownership of compliance deliverables.
- Ability to work closely with senior leadership, legal advisors, auditors, and regulators.
- Comfortable working in a dynamic, fast-paced environment with evolving regulatory requirements.
