The Legal Manager Commercial & International Contracts will be responsible for managing and supporting all contractual, regulatory, and compliance matters related to the companys business operations. The ideal candidate will possess extensive experience in drafting, reviewing, and negotiating complex commercial agreements, particularly in the SaaS and technology sector, with exposure to cross-border transactions.
This role requires a proactive legal professional who can balance business objectives with legal risk management, and who demonstrates sound judgment, attention to detail, and a deep understanding of international data protection frameworks such as the General Data Protection Regulation (GDPR).
Key Responsibilities:
- Contract Drafting, Review, and Negotiation:
Draft, review, and negotiate a wide range of commercial contracts, including SaaS agreements, subscription and licensing agreements, reseller and partner contracts, master service agreements, statements of work, NDAs, vendor contracts, and data processing agreements.
- Cross-Border Legal Support:
Provide legal guidance on matters relating to international jurisdictions, particularly within the EU, SEA and GCC regions, ensuring that all contractual arrangements comply with applicable local laws and regulations.
- Data Protection and Privacy Compliance:
Advise on data protection matters and ensure compliance with GDPR and other relevant global privacy regulations. Support the implementation of internal data governance policies and assist with privacy impact assessments and data processing arrangements.
- Legal Risk Management:
Identify potential legal risks in business operations and contractual frameworks and propose practical, business-oriented solutions to mitigate such risks.
- Legal Research and Advisory:
Conduct detailed legal research on international commercial and technology laws, evolving SaaS regulations, and cross-border compliance requirements. Prepare concise legal opinions and guidance notes for internal stakeholders.
- Cross-Functional Collaboration:
Work closely with internal teams including Sales, Procurement, Finance, Compliance, and Product to provide timely and effective legal support aligned with business goals.
Qualifications & Experience:
Education: Bachelor of Laws (LL.B.) from a recognized university; LL.M. or equivalent international legal qualification will be an added advantage.
Experience: Minimum of 7 years post-qualification experience, preferably in a SaaS, IT, or technology-driven organization, or at a reputed law firm advising clients in these sectors.
Technical Expertise:
- Proven experience in commercial contract management for Indian and international jurisdictions.
- In-depth understanding of GDPR and international data protection regimes.
- Familiarity with cross-border commercial practices, particularly within EU, SEA and GCC regions.
Skills:
- Excellent drafting, negotiation, and analytical abilities.
- Strong communication and stakeholder management skills.
- Ability to manage multiple priorities and deliver under tight timelines.
- Sound commercial judgment and a pragmatic, solution-oriented approach.
Preferred Attributes :
- Prior in-house experience in a global SaaS or technology organization.
- Exposure to compliance, intellectual property, and regulatory matters in cross-border contexts.
- Experience working with contract lifecycle management tools (e.g., SpotDraft, DocuSign CLM).
