Position Overview:

We are looking for an experienced and strategic Chief Financial Officer (CFO) to lead the company's complete financial function and play a critical role in preparing the organisation for a future Initial Public Offering (IPO).

The CFO will be responsible for managing the company's overall financial health, financial planning, accounting, taxation, cash flow, compliance, risk management, reporting, controls, and corporate finance activities.

The ideal candidate should have strong hands-on experience in managing the complete finance function and a proven understanding of the end-to-end IPO process, including IPO readiness, financial due diligence, corporate governance, regulatory compliance, financial restructuring, documentation, coordination with advisors and preparation for listing.

Key Responsibilities:

- Lead and manage the company's complete finance and accounting function, including financial planning, budgeting, forecasting, cash flow management, working capital, MIS, taxation, audit, statutory compliance and financial reporting.

- Develop and implement strong financial controls, processes and systems to ensure accuracy, transparency, compliance and scalability of the finance function.

- Prepare and present financial reports, business performance analysis, budgets, forecasts and strategic financial insights to the management and Board.

- Manage relationships with auditors, tax advisors, bankers, financial institutions, investors, legal advisors and other external stakeholders.

- Monitor the company's profitability, cash flow, working capital, cost structure and overall financial performance and provide strategic recommendations to the management.

- Ensure timely completion of statutory audits, internal audits, tax filings, regulatory compliances and other financial obligations.

- Develop long-term financial strategies aligned with the company's growth plans, expansion requirements and future capital requirements.

- Take complete ownership of the company's IPO preparation and execution process when the organisation moves towards listing.

- Assess and drive IPO readiness by identifying gaps in financial reporting, accounting practices, internal controls, governance, compliance, corporate structure and documentation.

- Lead the preparation and strengthening of financial statements, historical financial data, MIS and other financial information required for IPO due diligence and regulatory processes.

- Work closely with investment bankers, merchant bankers, legal advisors, auditors, consultants, regulators and other IPO stakeholders throughout the IPO journey.

- Manage and coordinate the end-to-end IPO process, including pre-IPO preparation, due diligence, restructuring, financial and legal documentation, regulatory requirements, offer documents, investor communication and listing activities.

- Ensure the company maintains the required accounting standards, financial discipline, corporate governance and reporting practices expected of a publicly listed organisation.

- Support the management in evaluating fundraising, debt, equity, strategic investments, mergers, acquisitions and other corporate finance opportunities.

- Build a strong finance team and establish processes that can support the company's growth and transition from a privately held organisation to a publicly listed company.

- Provide strategic financial leadership to the CEO, Board and senior management and actively participate in key business and growth decisions.

Required Experience & Qualifications:

- CA with strong experience in senior finance leadership roles.

- 12+ years of overall experience in finance, accounting and corporate finance, with significant experience in a CFO / Finance Director / VP Finance / Head of Finance role.

- Strong hands-on experience in managing the complete finance function of a growing organisation.

- Mandatory experience and strong practical understanding of the end-to-end IPO process, preferably with experience in taking a company through IPO or substantial involvement in IPO preparation and execution.

- Strong understanding of financial reporting, accounting standards, taxation, audit, corporate governance, internal controls, regulatory compliance and corporate finance.

- Experience working directly with merchant bankers, investment bankers, auditors, legal advisors and other IPO professionals.

- Strong knowledge of IPO readiness, due diligence, financial restructuring, corporate governance and regulatory requirements.

- Excellent financial, analytical, strategic and leadership skills with the ability to work closely with promoters, CEO and Board members.

- The candidate should be comfortable taking complete ownership of the finance function as well as leading the company's future IPO journey from preparation to listing.
