
Manager - Compliance
Job Description:
- Managing compliance under provisions of Companies Act, 2013 & Rules made thereunder.
- Handling compliances under Shareholders Agreement, Share Purchase Agreement, Joint Venture Agreement.
- Well versed with SEBI laws to prepare company for journey towards listing.
- Drafting and maintaining Company records like notices, agendas, minutes, annual reports, policies & procedures etc.
- Managing ESOP through Trust and its related compliances for the Group.
- Tracking and maintaining Group level compliance summary for reporting to the Audit Committee.
- Well versed with compliance tool.
- To handle issue of shares on right basis/private placement basis (Primary issue) or transfer of shares (Secondary issue).
- To maintain and handle the capital table of the company.
- To handle Merger & acquisitions, Business Transfer Agreements etc.
- Well versed with legal and compliance updates.
- Liasioning with various departments/stakeholders like NSDL, CDSL, Depository participants, AD Banks, consultants.
- Providing support/documents to various departments like finance for statutory audit, banking for banking authorities, business teams for their requirements.
- Qualified Company Secretary (CS) with 5+ years of post-qualification experience.
- Prior experience in managing corporate compliances and dealing with regulatory bodies.
- Up-to-date knowledge of legal and compliance updates across corporate, securities, and company law domains.
- Soft Skills- Excellent drafting, communication, and presentation skills.
- Strong analytical, organizational, and multitasking abilities.
- Collaborative, detail-oriented, and capable of working with senior management and boards.
