JD: - Manage the communication and coordination between the team in the respective jurisdictions, with the relevant external lawyers and consultants. Keep the relevant person in charge in the loop and be inside the important meeting managing the progress of the business. - Track down all of the details down to the minute nitty gritty of the corporate documents and business licenses, as well as timetable for particular legal projects - so that you can identify the blockers, and report it to the President of Southeast Asia business for resolution. - Draft and maintain all corporate secretarial documents, including but not limited to, corporate actions e.g. change in shareholders, change in BoD / BoC structures, amendments to the company's constitutional documents, and business licensing, which might be required across 5 (five) jurisdictions. - Where necessary, provide legal advice or considerations, to support the group's business activities throughout Southeast Asia. - Other legal support required to maintain the group's business within Indonesia and Southeast Asia. Skills Required: - Minimum 8 to 10+ years of experience, with combined experience from a top tier law firm and start-up company - Advanced level of English proficiency is a must. - Expertise at the following legal practices: (i) financing company operations (ii) M&A transactions and Legal Due Diligence (iii) banking & finance transactions (iv) corporate secretary and fundraising (v) manpower laws and regulations and (vi) investment laws and regulations. - General overview of the practices of the above mentioned legal practices in the relevant jurisdictions - so that you can collaborate with the relevant team on the ground, including external lawyers and consultants. - Crystal clear communication skill is crucial - so that you can connect the dots and keep the ball rolling accordingly. - Laser-cut details, indexing skills and neat documentation . - Collaboration is your core value, since you are the bridge between legal affairs and business progress across Southeast Asia. - You are the enabler, not a blocker!
