Job Description :


Brick & Bolt is seeking a sharp, detail-oriented Manager Legal & Compliance to join our Legal function in Bengaluru.

This is a replacement hire for a role that has been central to our legal operations.

The ideal candidate brings a dual foundation in Company Secretarial practice and Law (CS + LLB), with hands-on experience managing corporate compliance, contracts, regulatory filings, and legal risk in a fast-growing startup or technology-driven company.

Key Responsibilities :

- Ensure end-to-end compliance with the Companies Act, 2013 and all MCA/ROC filing requirements.

- Maintain statutory registers, minutes books, and other secretarial records.

- Manage annual filings, board and shareholder meeting documentation, and Director KYC compliances.

- Liaise with ROC, MCA, and other statutory authorities.

- Monitor regulatory developments and ensure organizational compliance with applicable laws and regulations.

- Draft, review, negotiate, and manage a wide range of agreements, including :

1. Agreements

2. Contractor Agreements

3. Customer Construction Agreements

4. Non-Disclosure Agreements (NDAs)

5. Memorandums of Understanding (MoUs)

6. Partnership Agreements

- Maintain a centralized contract repository and track renewals, obligations, and contract expiries.

- Advise internal stakeholders on contractual risks and obligations.

- Identify, assess, and mitigate legal and compliance risks across business operations.

- Provide legal opinions and advisory support to leadership on strategic business decisions.

- Support business expansion initiatives and regulatory assessments for new markets and geographies.

- Ensure timely implementation of legal and regulatory updates.

- Ensure compliance with labour laws, including :

1. Provident Fund (PF)

2. Employees' State Insurance (ESI)

3. Shops & Establishments Act

4. Contract Labour (Regulation & Abolition) Act

- Support HR in employment contracts, employee policies, and workplace compliance initiatives.

- Manage POSH compliance and related documentation.

- Monitor and ensure adherence to applicable regulations across operational states.

- Support business and operations teams in understanding and implementing regulatory requirements.

- Ensure compliance with RERA and other sector-specific regulations.

- Support compliance with the Digital Personal Data Protection Act (DPDPA), 2023 and IT Act requirements.

- Review and update privacy policies, terms of use, and data processing agreements.

- Ensure compliance for consumer-facing applications, websites, and digital platforms.

- Develop and maintain compliance trackers, checklists, SOPs, and governance frameworks.

- Coordinate internal and external compliance audits.

- Conduct awareness sessions and training programs on legal and compliance obligations.

Qualifications & Experience :

Mandatory :

- Qualified Company Secretary (CS) from ICSI.

- LLB from a recognized university.

Experience :

- Minimum 4 years of post-qualification experience in Legal & Compliance.

- Prior experience in Real Estate, Construction, Technology, or Startup environments will be preferred.

- Strong knowledge of:

1. Companies Act, 2013

2. RERA

3. Labour Laws

4. FEMA (Basic Understanding)

5. Consumer Protection Act

6. Digital Personal Data Protection Act (DPDPA), 2023

- Excellent contract drafting, negotiation, and legal documentation skills.

- Strong analytical, problem-solving, and stakeholder management capabilities.

- Ability to work independently in a dynamic and fast-paced environment.

Preferred Candidate Profile :

- Strong corporate secretarial and legal compliance background.

- Experience handling multi-state regulatory compliance.

- Strong attention to detail and excellent communication skills.
