This person will work closely with the Founders and Function Heads and be responsible for - Contract templates drafting and revision, Contract approval process set-up and update, Review of key contracts related to day-to-day business by focusing on key terms and legal risks; - Legal advice to various business functions; - Compliance trainings to employees and policies (Anti-Bribery, Code of Conduct, etc.) updates;and - Management of external counsel re. litigation or advice, and the legal budget for Bhanzu. Website - https://www.bhanzu.com/ Location: HSR Layout,Bangalore Mode of work: Work from Office What will you do in the next 6 - 12 months? - A positive, dynamic, clear, concise and business-focused approach to legal practice; - Overseeing the overall legal and regulatory affairs of the organisation - Reviewing global contracts to verify that they are in accordance with the company policy and applicable across jurisdictions - Drafting and vetting commercial agreements and contracts - Conduct due diligence and draft various documents including but not limited to as licensing agreements, technology transfer agreements, intellectual property issues. - Review legal documents to check for accuracy and consistency and identify the need for amendments of existing contracts - Closely work with business, operations and management functions to map out potential legal issues and devise strategies to mitigate them - Draft/review corporate board resolutions and authorizations and assist in the implementation of company's internal corporate policies and procedures, - Fundraise transactions end-to-end and provide advice to cross-functional groups in connection with deal execution. - Draft and negotiate - Term Sheets, NDA, Share -Purchase Agreements, Share Subscription -Agreements, Shareholders Agreements, and other transaction related documents. - Ability to work collaboratively with investor's counsel, cross-functional teams and external counsels. - Provide legal counsel regarding legal implications of significant matters pertaining to operations of the business.
