Job Summary: The Sr. Manager - Legal & Company Secretary will oversee all legal and company secretarial functions for our mobile manufacturing unit. This role requires a dynamic leader with in-depth knowledge of corporate and industrial law and regulatory compliance. The Sr. Manager will focus primarily on legal matters, including contract management, risk mitigation, and compliance, while also handling the company's secretarial duties such as managing board meetings, regulatory filings, and corporate governance. Key Responsibilities: Legal Responsibilities (70%): 1. Contract Management: Draft, review, and negotiate a variety of contracts, including vendor, customer, and partnership agreements to protect company interests. 2. Compliance & Regulatory: Ensure adherence to all applicable legal and regulatory requirements related to manufacturing, labor, environmental, and corporate laws. 3. Risk Assessment & Mitigation: Conduct risk assessments on all legal aspects and implement measures to safeguard the company. 4. Litigation Management: Oversee any legal disputes, litigation, and coordinate with external legal counsel as necessary. 5. Policy Development: Establish and review internal policies to ensure compliance with local, state, and federal laws. 6. Advisory: Provide proactive legal counsel to senior management on corporate policies, business transactions, and regulatory matters. Company Secretarial Responsibilities (30%): 1. Board Meetings & Documentation: Organize, prepare, and distribute notices, agendas, and minutes for board meetings and maintain statutory registers and records. 2. Corporate Filings: Handle all corporate filings, annual returns, and ensure timely submission of necessary documents to regulatory authorities. 3. Corporate Governance: Ensure that the company adheres to best practices in corporate governance and statutory compliance. 4. Stakeholder Management: Act as a point of contact for shareholders, auditors, and regulatory bodies, ensuring effective communication and information sharing. Qualifications and Skills: Educational Qualification: Qualified Company Secretary (CS) with LLB or Master's Degree in Legal Studies. Experience: Minimum 8-15 years in a legal and secretarial role, preferably within the manufacturing sector. Skills: - Strong understanding of corporate and labor law. - Excellent negotiation and drafting skills. - Proficiency in regulatory filings and corporate governance. - Strong analytical skills and risk management experience. - High-level interpersonal and communication skills. Key Performance Indicators (KPIs): 1. Contract Turnaround Time: Average time taken to draft, review, and close contracts. 2.
