Role:
The Legal professional will support the CFO's office across Avaana's investment and fund operations. The role involves assisting in the review and negotiation of transaction documents with investee companies, supporting legal due diligence in coordination with external counsel, and assisting on fund-level legal matters. This is an excellent opportunity for a motivated early-career lawyer looking to build deep expertise in venture capital transactions and fund operations within a dynamic, mission-driven team.
Key Responsibilities
- Assist in the review, drafting, and negotiation of investment transaction documents for initial and follow-on rounds, including Term Sheets, Shareholders' Agreements (SHA), Share Subscription Agreements (SSA), and Share Purchase Agreements (SPA), etc.
- Support legal due diligence on prospective investee companies in coordination with external legal firms - collating diligence responses, reviewing outputs, and flagging key risk areas for discussion
- Assist in the review and execution of Fund-level legal documentation including Private Placement Memoranda (PPM) and Contribution Agreements (CA) with Fund Limited Partners (LPs)
- Monitor, track and manage action items across transaction processes such as pre/post-investment legal obligations, compliance with SHA and CA covenants, and AVM matters across the portfolio
- Ensure compliance with the regulatory framework governing VC investments in India, including SEBI AIF regulations, Companies Act 2013 and FEMA regulations (as applicable)
- Create and maintain standard form investment documents and legal templates
- Support portfolio companies on legal matters and queries
- Assist the CFO on any other legal, compliance and governance matters as required
Required Qualifications and Attributes:
- LLB from a reputed institution, with 2-4 years of post-qualification experience; prior experience at a law firm with exposure to M&A, PE/VC transactions is preferred
- Prior exposure to investment transaction documents is an advantage
- Understanding of SEBI AIF regulations, the Companies Act, 2013, and FEMA/RBI regulations as they apply to venture capital funds and investments
- Strong drafting, research, and written communication skills with an eye for detail
- Highly organised with the ability to manage multiple workstreams
- Proactive, self-motivated, and eager to learn in a fast-paced, lean team environment
- Strong orientation towards growth - ability to take on progressively larger responsibilities over time
