
Job Summary:
We are seeking an experienced and business-oriented legal professional with 7-10 years of post-qualification experience in the Legal department of an NBFC or Supply Chain Financing Company. The incumbent will be responsible for leading the legal function for the Company's Supply Chain Finance, Factoring and Lending businesses by providing strategic legal advice, managing complex financing documentation, ensuring regulatory compliance, mitigating legal risks, and supporting business growth.
The role requires extensive experience in Banking and Finance documentation, Factoring transactions, Supply Chain Finance structures, Receivables Financing, Trade Finance and Structured Finance transactions. The selected candidate will work closely with Business, Credit, Risk, Operations, Compliance and the Company Secretary to ensure legally robust and commercially viable transactions.
Key Responsibilities:
Legal Advisory & Transaction Structuring:
- Provide strategic legal advice to senior management on legal and regulatory matters relating to Supply Chain Finance, Factoring and Lending businesses.
- Advise business teams on structuring domestic and cross-border factoring transactions, receivables financing, dealer finance, vendor finance and invoice discounting transactions.
- Support structured finance, co-lending, assignment and securitisation transactions from a legal perspective.
- Identify legal risks in new products, strategic partnerships and commercial arrangements and recommend appropriate risk mitigation measures.
- Provide legal opinions on lending transactions, security creation and enforcement.
Legal Documentation:
- Draft, review, negotiate and standardize documentation including:
1. Factoring Agreements
2. Master Facility Agreements
3. Loan Agreements
4. Assignment Agreements
5. Receivables Purchase Agreements
6. Security Documents
7. Hypothecation Agreements
8. Escrow Agreements
9. Guarantees and Indemnities
10. Inter-creditor and Co-lending Agreements
11. Vendor, Customer and Commercial Contracts
- Develop and maintain standardized documentation templates to improve operational efficiency and reduce legal risk.
Regulatory & Corporate Governance:
- Ensure compliance with RBI regulations applicable to NBFCs and Factoring businesses.
- Advise management on legal implications arising from regulatory developments.
- Support interactions with regulators, statutory auditors and legal authorities.
- Coordinate with the Company Secretary on Board matters, governance documentation and statutory compliances.
Litigation & Recovery:
- Manage litigation, arbitration and dispute resolution matters.
- Coordinate with external legal counsel on litigation strategy and legal opinions.
- Support legal recovery proceedings, enforcement of security interests and insolvency-related matters.
Risk Management & Team Leadership:
- Develop internal legal policies, SOPs and governance frameworks.
- Conduct legal risk assessments for business initiatives.
- Build and mentor a high-performing legal team.
- Conduct training sessions for internal stakeholders on legal, regulatory and contractual matters.
Qualifications:
- LL.B. from a recognized university (LL.M. preferred).
- Company Secretary qualification will be an added advantage.
Experience:
- 7-10 years of post-qualification experience in NBFCs, Banks, Financial Institutions or Factoring Companies.
- Strong experience in Banking & Finance documentation, Supply Chain Finance, Factoring, Receivables Financing and Structured Finance transactions.
Desired Skills:
- Strong drafting and negotiation skills.
- Thorough knowledge of RBI regulations applicable to NBFCs and Factoring.
- Sound understanding of the Factoring Regulation framework, Companies Act, Contract Act, SARFAESI, Insolvency & Bankruptcy Code and other applicable financial laws.
- Commercial acumen with strong stakeholder management capabilities.
