Assistant Vice President - Corporate Legal - Non Litigation - Financial Firm - LLM/LLB

The job's purpose is to oversee the drafting, vetting, and execution of various legal agreements and documents, including NDAs, MOUs, contracts, offer documents, loan agreements, and investment agreements. This involves coordination with internal departments, external parties, and legal firms to ensure compliance and successful transactions.

Key Roles & Responsibilities:

1) Drafting, vetting and execution of Non-Disclosure/Confidential Agreements and Memorandum of Understanding with various service providers/bankers/clients etc.

2) Drafting, vetting and execution of agreements/contracts for matters related to various departments, such as, HR, Corporate Services, IT & Finance.

3) Drafting, vetting and execution of documents such as Offer Document/Private Placement Memorandum for issuance of securities.

4) Drafting, vetting and execution of Loan/Facility Agreements, Deed of Hypothecation, inter corporate deposits, term sheets and Security Creation with the Banks/Financial Institutions/Security Trustees.

5) Vetting and negotiating execution of the Investment cum Share Subscription/Share transfer Agreement for Private Equity Investment and liaised with law firms and other authorities.

6) Co-ordination with law firms, arrangers, and intermediaries for drafting, vetting and execution of loan/debt transaction documents.

Educational Qualification and Skills:

1) LLB/LLM (2014 or prior batches)

2) 10-12 Years of relevant experience of managing corporate legal of group companies for a financial services industry.

3) Should have experience in handling all the legal matters for the organization.

4) Sound Knowledge on Key Regulations: SEBI, Brokers, Mutual Funds, Company Act etc.

5) Computer Proficiency (MS Word, Excel), Presentation Skills, Report Writing & Documentation.
