Company Secretary | NBFC Location: Mumbai | Experience: 8+ Years Industry: Non-Banking Financial Company (NBFC) Reports To: Chief Operating Officer (COO) Role Overview: As the AVP - Company Secretary, you will be the custodian of corporate governance and secretarial compliance, acting as a key advisor to the Board and Senior Management. You'll ensure seamless regulatory compliance with the Companies Act, RBI norms, and other applicable laws. Key Responsibilities - Drive all secretarial functions: Board meetings, filings, resolutions - Ensure timely compliance with Companies Act, RBI NBFC regulations, and other applicable laws - Liaise with MCA, RBI, legal counsel, and regulatory bodies - Prepare and submit all statutory filings, disclosures, and returns - Lead corporate governance initiatives and strengthen internal frameworks - Support internal legal and compliance reviews - Advise the Board and senior leadership on evolving regulatory obligations What We're Looking For - Qualified Company Secretary (CS) - Mandatory - 8+ years of post-qualification experience, preferably in NBFCs / BFSI - Deep understanding of RBI NBFC guidelines, Company Law, and FEMA - Excellent communication, drafting & stakeholder management skills - Strong grip on corporate filings, board procedures & secretarial standards Bonus Points If You Have: - LLB or additional certifications in corporate/commercial laws - Experience managing RBI audits and inspection cycles
