Assistant General Manager
Role Overview:
The role involves overseeing customer-related contracts, NDAs, group entity structuring, and key compliance mandates. The ideal candidate will bring experience from the telecom, IT, or data centre sectors, with a strong track record in commercial legal advisory and governance practices.
Key Responsibilities:
Customer-Facing Legal Support:
- Lead legal negotiations and reviews for customer MSAs, colocation agreements, service contracts, NDAs, and technology agreements.
- Support the sales and commercial team during deal structuring and contract finalization with enterprise, hyperscale, and IT clients.
- Act as a strategic partner in mitigating legal and commercial risks in customer engagements.
Corporate Legal & Governance:
- Lead Company Secretarial (CS) function for the organization and its subsidiaries, ensuring compliance with Companies Act and relevant regulations.
- Drive governance practices including convening Board, Committee, and General Meetings, maintaining statutory records, and managing regulatory filings.
- Oversee legal and corporate documentation for SPVs, JVs, demergers, internal restructuring, and divestments.
Compliance & Regulatory Management:
- Ensure end-to-end legal and statutory compliance across company related laws.
- Monitor updates on key regulatory changes and drive awareness and policy implementation within the organization.
- Support internal audits, statutory inspections, and responses to government inquiries and notices.
Contract Management & Dispute Resolution:
- Lead drafting, vetting, and execution of a wide variety of commercial and operational contracts with customers, vendors, and group entities.
- Manage contract lifecycle including renewals, amendments, and dispute resolution processes.
- Coordinate with external legal counsel for litigation support, wherever required.
Team Leadership & Stakeholder Management:
- Lead and mentor a team of legal and CS professionals.
- Work closely with CXOs, Finance, Projects, HR, and Operations teams to support cross-functional legal and compliance needs.
- Liaise with group legal and secretarial functions for alignment and strategic projects.
Key Skills & Competencies:
- Strong knowledge of commercial contract law, customer and vendor agreements, and data centre service contracts.
- Understanding of Indian company law, secretarial practices, and group structuring requirements.
- Excellent drafting, negotiation, and legal risk mitigation skills.
- Experience in managing internal corporate governance and statutory compliance frameworks.
- Ability to lead teams, manage multiple priorities, and work with senior stakeholders.
- Strong ethical values, business judgment, and proactive communication.
Qualifications & Experience:
- Essential Qualification: LLB and qualified Company Secretary (CS ICSI)
- Preferred: LLM or additional certification in Commercial/IT/Contract Law
- Experience: 12 to 18 years of post-qualification experience with at least 5 years in a leadership legal role
- Industry Preference: Telecom, Data Centres, IT/ITES, Technology Infrastructure, or Allied Services
