Role : Assistant General Manager - Legal & Company Secretary - India Operations

Location : Gurgaon

Department: Legal & Corporate Governance

Reporting To : Chief Executive Officer

Nature of role : Individual contributor; required strong collaboration across functions

Base location : Gurgaon (in-office)

Travel requirements : Occasional (within India)

ABOUT THE ROLE :

1. Strategic Legal Advisory :

This person is responsible for providing strategic legal leadership, ensuring robust corporate governance, regulatory compliance, medico-legal risk management, and secretarial excellence across the organization's network of fertility centres.


The role serves as a trusted advisor to the Board, Chief Executive Officer, and senior leadership team, ensuring that the organization operates within the highest standards of legal, ethical, and clinical governance while supporting business growth, expansion, and operational excellence.

2. Regulatory Compliance :

- Lead legal compliance for group by ensuring adherence to applicable laws and regulatory requirements including ART (Regulation) Act, Surrogacy (Regulation) Act, PCPNDT Act, Clinical Establishments Act, Biomedical Waste Management Rules, Consumer Protection Act, IT Act, DPDP Act, Labour & employment laws and other relevant acts.

- Review and update patient consent forms, treatment documentation, donor agreements, embryo and gamete handling documentation, and legal declarations.

- Liaise with state ART authorities, and other appropriate authorities under the PCPNDT Act, health departments, and other regulatory agencies.

- Ensure regulatory readiness of clinics for inspections, audits, licensing, and accreditation.

- Monitor changes in healthcare legislation and ensure their timely implementation.

3. Corporate Governance & Board Support as the Company Secretary :

- Act as Company Secretary and custodian of corporate governance across the organization.

- Organize board meetings, committee meetings, AGMs and EOGMs.

- Ensure compliance with Companies Act, secretarial standards, FEMA, and all statutory governance requirements.

- Prepare board agenda, governance papers, resolutions, minutes & statutory documents.

- Maintain statutory registers and oversee all MCA filings and corporate records.

- Advise the Board and senior management on governance obligations, director responsibilities, related-party transactions, conflicts of interest, and ethical conduct.

- Coordinate board evaluations, governance reviews and secretarial audits.

7. Enterprise Policies, Compliance & Risk Management :

- Lead legal review of organizational policies such as patient rights and responsibilities, consent frameworks, clinical documentation standards, data privacy, medical record retention, ethical conduct, conflict of interest, whistleblower policy & POSH compliance.

- Design and implement an enterprise legal compliance framework across all the centres, and conduct periodic legal and compliance audits.

- Develop compliance dashboard and report the key legal risks to senior management and board.

- Coordinate insurance claims, professional indemnity matters, and risk assessments.

- Support internal investigations involving fraud, misconduct, whistleblower complaints.

QUALIFICATIONS & EXPERIENCE :

- Bachelor of Laws (LL.B.) - Mandatory

- Qualified Company Secretary (ICSI) - Mandatory

- LL.M./ Diploma or certification in Healthcare Law, Hospital Administration, Risk Management, or Corporate Governance - Preferred

- 5 - 8 years of post-qualification experience, specifically in healthcare legal affairs, preferably within hospitals, fertility centres, diagnostics, or other regulated healthcare environments.

- Demonstrated expertise in corporate governance, board support, healthcare regulation, medico-legal litigation, and contract management.

- Experience supporting multilocation healthcare organizations is highly desirable.
