
Role Overview:
The Assistant Company Secretary will support all secretarial, legal, and compliance-related responsibilities for the organization.
The role requires strong corporate governance knowledge, excellent reporting and stakeholder management skills, and the ability to collaborate cross-functionally with senior leadership.
Key Responsibilities:
Company Secretarial & Compliance:
- Develop strategic vision for compliance to manage risks, support business initiatives, and ensure legal/regulatory adherence.
- Handle all statutory compliance requirements under Companies Act, SEBI, RBI, and other regulatory bodies.
- Conduct Board, Committee, General, and Investors' meetings (virtual & physical) including drafting of notices, agenda, minutes, and resolutions.
- Draft and file statutory reports, returns, financial statements, and other compliance documents with ROC, SEBI, RBI, Stock Exchanges, and Trustees.
- Prepare legal documents such as statutory notices, complaints, petitions, affidavits, and appeals as needed.
Efficiency Building & Financial Reporting
- Improve organizational efficiencies and reduce costs through compliance streamlining.
- Oversee receivable management and tax/regulatory compliance within the finance function.
- Analyze financial performance, variances, and prepare reports for management.
- Enhance reporting systems and initiate corrective actions as required.
Stakeholder Collaboration:
- Work closely with senior leadership, including briefing preparations for the COO.
- Collaborate with the CFO and department heads to share reports and insights.
- Lead cross-functional teams to drive process improvement initiatives.
- Represent the company professionally in interactions with investors, board members, government authorities, and regulatory agencies.
- Maintain and build strong relationships with internal and external stakeholders.
